This Purchase Order is issued by Meridian Corporate Holdings A.S. (hereinafter referred to as the "Buyer") to Apex Financial Advisory Group Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Financial Analyst to provide comprehensive financial analysis, forecasting, and strategic advisory services. The scope of work under this Purchase Order shall be executed primarily at the Buyer's headquarters located in Turkey Ankara, specifically at the Çankaya district office, with the possibility of limited travel to other sites within the Ankara metropolitan area as operationally required.
The Financial Analyst engaged under this Purchase Order shall be a certified professional holding at minimum a CFA (Chartered Financial Analyst) designation or an equivalent Turkish-recognized financial certification. The candidate must demonstrate a minimum of seven (7) years of progressive experience in corporate finance, investment analysis, and financial modeling within the Turkish and broader EMEA markets. Fluency in both Turkish and English is a mandatory requirement, as all deliverables, board presentations, and regulatory filings associated with this Purchase Order will be produced in both languages to satisfy the compliance obligations of the Capital Markets Board of Turkey (SPK) and the Ankara-based regulatory authorities.

All amounts are denominated in Turkish Lira (TRY). The exchange rate reference for this Purchase Order is the Central Bank of Turkey (TCMB) rate on the date of issue. Any fluctuation exceeding 5% shall trigger a mutual renegotiation clause as outlined in Section 7.
5.1 Commencement and Duration: The services described in this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless terminated earlier in accordance with the termination provisions herein. The Financial Analyst shall report to the Buyer's Chief Financial Officer at the Turkey Ankara headquarters no later than the first business day of the commencement date.
5.2 Payment Terms: Payment shall be made in monthly installments via bank transfer to the Supplier's designated account in Turkey Ankara. Invoices shall be submitted by the 5th business day of each month for the preceding month's services. Payment is due within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the statutory rate prescribed by the Turkish Code of Obligations (Türk Borçlar Kanunu).
5.3 Performance Standards: The Financial Analyst shall adhere to the International Financial Reporting Standards (IFRS) and all applicable Turkish accounting regulations. All deliverables must be submitted to the Buyer's Finance Department in Turkey Ankara no later than the 10th business day following the end of each reporting period. Failure to meet delivery deadlines on two (2) or more occasions within any single quarter shall constitute a material breach of this Purchase Order.
5.4 Confidentiality and Data Protection: The Supplier and the Financial Analyst shall treat all financial data, proprietary models, and strategic information accessed during the execution of this Purchase Order as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. Compliance with the Turkish Personal Data Protection Law (KVKK – Law No. 6698) is mandatory for all data handling activities conducted in Turkey Ankara.
5.5 Intellectual Property: All reports, models, analyses, and work products created by the Financial Analyst specifically for the Buyer under this Purchase Order shall be the sole and exclusive property of Meridian Corporate Holdings A.S. The Supplier retains no rights to reuse, publish, or distribute such materials without prior written consent from the Buyer.
5.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' written notice. Upon termination, the Supplier shall deliver all outstanding work products and return all confidential materials held in Turkey Ankara within ten (10) business days.
5.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Ankara, Turkey. The parties agree to attempt mediation through the Ankara Chamber of Commerce prior to initiating litigation.
5.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Turkey Ankara. The affected party shall notify the other within five (5) business days of the occurrence.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the Financial Analyst services as described herein, to be performed in Turkey Ankara under the jurisdiction of Turkish law.
