This Purchase Order is issued to procure the professional services of a qualified Financial Analyst to be embedded within the finance and strategy division of Northgate Corporate Solutions Ltd, operating from our principal office in United Kingdom Manchester. The Financial Analyst shall be responsible for, but not limited to, the following duties and deliverables:

• Preparation and maintenance of monthly, quarterly, and annual financial reports in compliance with UK GAAP and IFRS standards as applicable to entities registered in the United Kingdom.
• Development and management of detailed financial models, including revenue forecasting, cost variance analysis, and capital expenditure projections for the Manchester-based operations.
• Conducting in-depth market research and competitive benchmarking relevant to the Northern England commercial sector, with findings presented to the Board of Directors no fewer than four times per annum.
• Monitoring and reporting on key performance indicators (KPIs) and financial ratios to support strategic decision-making by senior leadership in United Kingdom Manchester.
• Collaboration with the internal audit team to ensure full compliance with HM Revenue & Customs (HMRC) obligations, Companies House filings, and the Financial Conduct Authority (FCA) regulatory framework.
• Assisting in the preparation of board presentations, investor relations materials, and due diligence documentation for potential mergers, acquisitions, or joint ventures.
• Implementation and oversight of the company's budgeting cycle, including the preparation of the annual operating budget for the fiscal year commencing 1st April 2026.

Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid VAT invoice, via BACS transfer to the supplier's designated bank account in the United Kingdom. Late payments shall attract interest at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998.

5.1 This Purchase Order is subject to the standard terms and conditions of Northgate Corporate Solutions Ltd, a company incorporated in England and Wales (Company No. 08765432), with its registered office in United Kingdom Manchester.

5.2 The Financial Analyst engaged under this Purchase Order shall be bound by strict confidentiality obligations in accordance with the UK Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR). All financial data, proprietary models, and internal reports shall be treated as confidential and shall not be disclosed to any third party without prior written consent.

5.3 The supplier warrants that the Financial Analyst shall hold a minimum of a Bachelor's degree in Finance, Accounting, or a related discipline, and shall possess a recognised professional qualification such as ACCA, CFA, or CIMA. A minimum of five (5) years of post-qualification experience in corporate financial analysis within the United Kingdom is required.

5.4 The supplier shall maintain adequate professional indemnity insurance (minimum cover of £5,000,000) and public liability insurance (minimum cover of £2,000,000) for the duration of this engagement in United Kingdom Manchester.

5.5 Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, all work-in-progress shall be delivered and final settlement made within thirty (30) days.

5.6 All disputes arising under this Purchase Order shall be resolved by arbitration in Manchester, United Kingdom, in accordance with the rules of the London Court of International Arbitration (LCIA).

This Purchase Order is issued and authorised by the undersigned on behalf of Northgate Corporate Solutions Ltd. The supplier is requested to confirm acceptance of all terms, conditions, and the scope of work described herein by signing and returning a copy of this document within ten (10) business days of the date of issue.
