1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by the Guangzhou Municipal Fire and Rescue Bureau to procure a comprehensive set of Firefighter personal protective equipment, structural firefighting apparatus, and emergency response gear. The entire procurement is intended for deployment and operational use within China Guangzhou, specifically across the fourteen administrative districts of the municipality. This Purchase Order supersedes all prior quotations and verbal agreements between the parties and constitutes the sole binding document governing the terms, conditions, delivery schedule, and payment obligations for the items listed herein. All Firefighter equipment procured under this Purchase Order must comply with the national standards of the People's Republic of China (GB 27900-2011 for protective clothing, GB 8108-2005 for structural firefighting gear) and must be certified for use in the high-density urban and industrial environments characteristic of China Guangzhou.

All Firefighter equipment listed in this Purchase Order shall be delivered to the Guangzhou Central Fire Equipment Depot located at 78 Huangpu Industrial Avenue, Huangpu District, China Guangzhou, 510700. The supplier shall bear all transportation, insurance, and customs clearance costs up to the point of delivery within China Guangzhou. Delivery is scheduled in three phases: Phase 1 (Items 01, 02, 06) by 10 July 2025; Phase 2 (Items 03, 04, 05) by 25 July 2025; and Phase 3 (Items 07, 08) by 10 August 2025. The supplier must provide a minimum of seven (7) business days' written notice prior to each delivery to the designated receiving officer at the Guangzhou depot. All packaging must be suitable for the humid subtropical climate of China Guangzhou and must include moisture-barrier protection for electronic components.
4. Payment TermsPayment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the supplier's designated account. The payment schedule is as follows: a 30% advance payment (CNY 2,948,850.00) upon execution of this Purchase Order; a 50% progress payment (CNY 4,914,750.00) upon successful delivery and inspection of Phase 1 and Phase 2 Firefighter equipment at the Guangzhou depot; and a final 20% balance payment (CNY 1,965,900.00) upon completion of Phase 3 delivery and final acceptance testing. All payments are due within thirty (30) calendar days of the respective invoice date. Late payments shall incur an interest charge of 0.05% per calendar day as stipulated under the Civil Code of the People's Republic of China.
5. Quality Assurance and InspectionThe Guangzhou Municipal Fire and Rescue Bureau reserves the right to conduct pre-shipment inspection at the supplier's facility in Shenzhen and post-delivery inspection at the China Guangzhou depot. All Firefighter equipment must be accompanied by original manufacturer's certificates of conformity, test reports from a CNAS-accredited laboratory, and individual serial number documentation. Any item found to be defective, non-conforming, or not meeting the specifications outlined in this Purchase Order shall be replaced at the supplier's sole expense within fourteen (14) calendar days. The supplier warrants all Firefighter equipment for a minimum of three (3) years from the date of final acceptance in China Guangzhou.
6. General Terms and Conditions6.1. This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
6.2. The supplier shall not subcontract any portion of the manufacturing or supply of Firefighter equipment without prior written consent from the Guangzhou Municipal Fire and Rescue Bureau.
6.3. Force majeure events, including but not limited to typhoons affecting the China Guangzhou region, shall extend delivery deadlines by a period equivalent to the duration of the event, provided written notice is given within 48 hours.
6.4. All intellectual property related to the Firefighter equipment designs remains with the supplier. The Bureau receives a non-exclusive license to use the equipment for public safety operations within China Guangzhou.
6.5. This Purchase Order becomes effective upon signature by both authorized representatives and remains valid until all obligations, including warranty periods, are fully discharged.
