All items referenced in this Purchase Order shall be delivered to the central Firefighter barracks located at Calle 45 #43E-15, El Poblado, Colombia Medellín, Antioquia. The delivery window is established between July 1, 2025, and July 15, 2025. The seller is responsible for all transportation, insurance, and customs clearance (if applicable for imported components) until the goods are received and inspected at the designated Firefighter facility in Medellín. Partial deliveries are permitted provided that each shipment includes a packing list referencing this Purchase Order number (CMF-2025-04871) and the specific line items contained therein. The buyer reserves the right to reject any Firefighter equipment that does not meet the specified standards or arrives in damaged condition.

Payment for this Purchase Order shall be made in two installments: (a) 40% (COP 757,530,200) upon confirmed delivery and successful quality inspection of all Firefighter equipment at the Medellín facility; and (b) 60% (COP 1,136,295,300) within thirty (30) calendar days following the final acceptance sign-off by the Firefighter Operations Division. Payment shall be executed via bank transfer to the seller's account registered under NIT 901.789.321-0. Late payments shall accrue interest at the rate established by the Superintendencia Financiera de Colombia. The seller must issue a formal factura electrónica (electronic invoice) compliant with DIAN regulations for each payment milestone.

All Firefighter equipment procured under this Purchase Order must carry valid certification from the relevant Colombian and international bodies. The seller warrants that every item is new, unused, and free from defects in materials and workmanship. A minimum warranty period of twenty-four (24) months applies to all structural Firefighter gear, while SCBA units carry a thirty-six (36) month warranty. The seller shall provide a full technical data sheet and compliance certificate for each product category. The buyer's Firefighter safety officer in Medellín shall conduct a pre-acceptance inspection, and no payment shall be released until all items pass the inspection protocol defined in Annex A of this Purchase Order.

7.1. This Purchase Order is governed by the commercial laws of the Republic of Colombia and the applicable regulations of the city of Medellín.

7.2. Any dispute arising from this Purchase Order shall be resolved through the competent commercial courts of Medellín, Antioquia, Colombia.

7.3. The seller shall maintain adequate insurance coverage for all Firefighter equipment in transit to the delivery location in Colombia Medellín.

7.4. Force majeure events, including but not limited to natural disasters affecting the Medellín valley, shall suspend obligations for the duration of the event, provided written notice is given within 48 hours.

7.5. This Purchase Order does not constitute a binding contract until countersigned by both parties. Amendments must be made in writing and reference PO No. CMF-2025-04871.

7.6. The seller acknowledges that the equipment procured under this Purchase Order is intended for the protection and operational readiness of active-duty Firefighter personnel serving the citizens of Colombia Medellín.

NOTE: This Purchase Order was prepared in accordance with the annual budget allocation approved by the Alcaldía de Medellín for the Firefighter Corps modernization program 2025. All procurement activities are subject to audit by the Contraloría Municipal de Medellín.
