All goods covered by this Purchase Order shall be delivered to the designated Firefighter stations in France Marseille, specifically the Caserne Centrale located at 12 Boulevard National, 13001 Marseille, and the secondary depots in La Ciotat and Aix-en-Provence. The supplier shall coordinate with the Firefighter logistics officer of the SDIS to schedule staged deliveries so as not to interrupt ongoing Firefighter training cycles or emergency readiness. A minimum of 14 calendar days' written notice is required before each delivery window.
Upon receipt, a joint inspection team comprising two (2) senior Firefighter officers and one (1) procurement representative from the SDIS shall verify that each item conforms to the specifications listed in Section 3. Any non-conforming Firefighter equipment must be replaced at the supplier's sole expense within ten (10) business days. Acceptance is deemed complete only after the written sign-off of the Firefighter Operations Commander for France Marseille.
Payment for this Purchase Order shall be made in three (3) installments via bank transfer to the supplier's designated account:
- 30% advance payment (€527,078.40) upon execution of this Purchase Order.
- 50% progress payment (€878,464.00) upon delivery and partial acceptance of Items 01–09.
- 20% final payment (€351,385.60) upon full acceptance, including the Firefighter Training Simulator Module (Item 10) and completion of all installation works in France Marseille.
Payment terms are net 45 days from the date of the corresponding invoice. Late payments shall accrue interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).
The supplier warrants that all Firefighter equipment supplied under this Purchase Order shall be new, unused, and in full compliance with applicable European Union directives, French national regulations (Code de la sécurité intérieure), and the specific technical specifications referenced herein. A minimum warranty period of five (5) years applies to structural Firefighter PPE and ten (10) years to SCBA units. The supplier shall provide full CE marking documentation, EN test certificates, and a Firefighter-specific maintenance schedule with each delivery to France Marseille.
Neither party shall be held liable for delays caused by events beyond reasonable control, including but not limited to natural disasters affecting the France Marseille region, port closures, or government-mandated restrictions. Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation between the Firefighter procurement officer and the supplier's account manager. Should resolution not be achieved within thirty (30) days, the matter shall be referred to the competent commercial court of Marseille, France, in accordance with French procedural law.
This Purchase Order is governed by and shall be interpreted in accordance with the laws of the French Republic. All communications relating to this Purchase Order, including amendments, change orders, and correspondence regarding Firefighter equipment specifications, shall be conducted in writing and directed to the addresses specified in Section 1.
Note: This Purchase Order supersedes all prior quotations, letters of intent, and preliminary agreements between the parties regarding Firefighter equipment procurement for the France Marseille operational zone. No modification to this Purchase Order shall be valid unless executed in writing and signed by both authorized representatives.This Purchase Order is hereby authorized and made effective as of the date first written above. By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this document for the procurement of Firefighter equipment in France Marseille.
