2. PURPOSE AND SCOPE OF THIS PURCHASE ORDER

This Purchase Order is issued by the Moscow City Department of Emergency Situations to procure specialized protective equipment, respiratory apparatus, and operational gear for the Firefighter corps stationed in Russia Moscow. The procurement is conducted in accordance with Federal Law No. 44-FZ on the Contract System and the internal procurement regulations governing the Firefighter services of the Moscow metropolitan area. All items listed herein are intended to replace aging equipment and to expand the operational capacity of the Firefighter brigades responsible for structural fires, industrial incidents, and hazardous material response across the 125 administrative districts of Russia Moscow.

The Firefighter personnel in Russia Moscow operate under extreme thermal, chemical, and physical conditions. Therefore, all equipment supplied under this Purchase Order must meet or exceed the standards set by GOST R 12.4.280-2014 (Personal Protective Equipment for Firefighters) and EN 469:2020 (Protective Clothing for Firefighters). The supplier warrants that every item delivered to Russia Moscow will be certified, tested, and accompanied by full documentation in both Russian and English.

4. DELIVERY TERMS AND LOGISTICS

All goods under this Purchase Order shall be delivered Incoterms 2020 DDP (Delivered Duty Paid) to the designated Firefighter equipment warehouse located at 88, Leningradsky Prospekt, Moscow, 125212, Russia Moscow. The supplier is responsible for all international shipping, customs clearance, import duties, and last-mile delivery within the Russia Moscow metropolitan area. Delivery is scheduled in three (3) consolidated shipments over a period of twelve (12) weeks from the date of this Purchase Order. The first shipment shall arrive no later than 1 August 2025, the second by 1 September 2025, and the final shipment by 15 September 2025.

Given the operational demands of the Firefighter corps in Russia Moscow, the supplier acknowledges that any delay beyond the stated delivery windows will result in a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total contract value. The Firefighter services in Russia Moscow cannot operate with incomplete protective equipment, and timely delivery is therefore a critical condition of this Purchase Order.

5. PAYMENT TERMS

Payment shall be made in Euros (EUR) via irrevocable letter of credit issued by Sberbank, Moscow branch, in favor of the supplier. The payment schedule is as follows: 30% advance payment upon confirmation of this Purchase Order; 50% upon successful delivery and inspection of the first two shipments at the Russia Moscow receiving facility; and the remaining 20% upon final acceptance of all goods and submission of complete documentation, including certificates of conformity, test reports, and warranty certificates. The Firefighter procurement office in Russia Moscow will conduct a 100% quality inspection of all delivered items before issuing the final acceptance certificate.

6. WARRANTIES AND COMPLIANCE

The supplier warrants that all Firefighter equipment supplied under this Purchase Order shall carry a minimum manufacturer warranty of five (5) years from the date of delivery to Russia Moscow. All items must comply with the applicable GOST R standards for Firefighter personal protective equipment and must bear the mandatory EAC (Eurasian Conformity) marking for entry into the Russia Moscow market. The supplier shall provide a full technical dossier, including material safety data sheets, in Russian, for each item. Any item found non-compliant during inspection at the Russia Moscow facility shall be replaced at the supplier's sole expense within fourteen (14) calendar days.

7. GENERAL CONDITIONS

This Purchase Order constitutes a binding agreement between the parties upon signature. Any amendments to this Purchase Order must be made in writing and signed by both parties. Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Russian Federation, seated in Moscow, Russia Moscow. The governing law for this Purchase Order shall be the civil law of the Russian Federation. This Purchase Order is valid for a period of ninety (90) days from the date of issue, after which it shall lapse unless renewed in writing by the Firefighter procurement authority in Russia Moscow.
