1. Scope of Purchase Order: This Purchase Order is issued by the Cuerpo de Bomberos de Caracas, Venezuela, to procure specialized Firefighter equipment, protective gear, communication systems, and a comprehensive training program. All items listed herein are intended to enhance the operational readiness and safety of Firefighter personnel serving the Caracas metropolitan region and its surrounding municipalities in Venezuela.
2. Delivery and Logistics: The Vendor shall deliver all physical goods to the Central Firefighter Station located in Chacao, Caracas, Venezuela, in accordance with DDP (Delivered Duty Paid) terms. The Vendor is responsible for all international shipping, customs clearance in Venezuela, import duties, and final delivery to the designated Firefighter facility. Delivery must be completed no later than August 30, 2025. The Vendor must coordinate with Venezuelan customs authorities and provide all necessary documentation, including certificates of origin, commercial invoices, and NFPA compliance certificates, to ensure smooth clearance at the Puerto de La Guaira port in Caracas.
3. Quality and Compliance: All Firefighter equipment supplied under this Purchase Order must meet or exceed the standards set by the National Fire Protection Association (NFPA) and the European Norms (EN) as specified in the line items. The Vendor shall provide test reports, material safety data sheets, and certification documents for every item. Equipment must be suitable for the tropical, high-humidity climate of Venezuela Caracas, with additional thermal resistance ratings where applicable.
4. Training Program Delivery: The Firefighter Training and Certification Program (Line Item 8) shall be conducted on-site at the Cuerpo de Bomberos de Caracas training facility in Venezuela Caracas. The Vendor shall deploy certified Firefighter instructors with a minimum of ten (10) years of structural firefighting experience. The program shall be delivered in Spanish, with all technical manuals and reference materials provided in both Spanish and English.
5. Payment Terms: Payment shall be made in United States Dollars (USD) via international wire transfer to the Vendor's designated bank account. A 30% advance payment shall be due within fifteen (15) business days of the execution of this Purchase Order. The remaining 70% shall be due within thirty (30) days following successful delivery, inspection, and acceptance of all Firefighter equipment at the Caracas receiving facility. All payments are subject to the financial regulations of the Venezuelan government and applicable banking protocols in Venezuela.
6. Inspection and Acceptance: Upon arrival in Venezuela Caracas, a joint inspection team comprising representatives of the Cuerpo de Bomberos de Caracas and an independent third-party quality assurance firm shall inspect all Firefighter equipment within ten (10) business days. Any items found to be defective, non-compliant, or damaged in transit shall be replaced or repaired by the Vendor at no additional cost within thirty (30) days.
7. Warranty: The Vendor shall provide a minimum two-year warranty on all Firefighter equipment, covering manufacturing defects, material failures, and performance degradation. SCBA units shall carry a five-year warranty on the cylinder and a two-year warranty on the regulator and mask assembly. The warranty period commences upon the date of acceptance in Caracas, Venezuela.
8. Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from acts of God, natural disasters, government sanctions, trade embargoes affecting Venezuela, or other events beyond reasonable control. In such cases, the affected party shall notify the other in writing within five (5) business days, and both parties shall negotiate in good faith to resume performance.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order related to Firefighter equipment procurement for Venezuela Caracas shall be resolved through binding arbitration in Panama City, Panama, under the rules of the International Chamber of Commerce (ICC).
10. Confidentiality: Both parties agree to maintain the confidentiality of all technical specifications, pricing, and operational details contained in this Purchase Order. No information regarding the Firefighter equipment procurement for the Caracas fire service shall be disclosed to third parties without prior written consent.
NOTE: This Purchase Order is part of the broader Firefighter Safety Modernization Initiative 2025, a multi-year program funded by the Ministry of Interior, Justice and Peace of Venezuela to equip and train all Firefighter units across the Caracas metropolitan area.
