This Purchase Order is issued by Terravista Engenharia e Consultoria Ltda. to engage the services of a qualified Geologist for the execution of comprehensive geological survey, site characterization, and environmental risk assessment activities in the Federal District of Brazil, Brasília. The scope of work encompasses the following deliverables, all to be performed in accordance with Brazilian federal and district regulations, including but not limited to the guidelines established by IBAMA, CPRM (Serviço Geológico do Brasil), and the local municipal planning authority of Brasília (IPHAN and the Secretaria de Planejamento do D.F.).

4.1 This Purchase Order constitutes a binding agreement between Terravista Engenharia e Consultoria Ltda. (hereinafter “the Client”) and Ribeiro & Associados — Geologia e Meio Ambiente, represented by the Geologist Dr. Helena Vasconcelos Ribeiro (hereinafter “the Service Provider”), for the geological services described herein to be executed in Brasília, D.F., Brazil.

4.2 The Service Provider shall ensure that all fieldwork, laboratory analyses, and reporting comply with the technical standards of ABNT (Associação Brasileira de Normas Técnicas), the regulations of CREA-DF, and the environmental licensing requirements of the Federal District of Brazil.

4.3 The Geologist shall maintain full professional liability insurance (seguro de responsabilidade civil profissional) with a minimum coverage of R$ 500,000.00 for the entire duration of the contract, valid in the jurisdiction of Brasília, D.F.

4.4 All deliverables, including but not limited to geological maps, borehole logs, laboratory reports, and the final consolidated report, shall be submitted in both digital (PDF and editable formats) and three (3) hard-copy sets to the Client’s office in Brasília.

4.5 The Service Provider shall not subcontract any portion of the geological fieldwork without prior written authorization from the Client. Any approved subcontracting must be disclosed in writing within five (5) business days.

4.6 In the event of force majeure (including but not limited to extreme weather events affecting the Cerrado region of Brasília, government-mandated work stoppages, or natural disasters), either party may suspend obligations for up to thirty (30) days without penalty, provided written notice is given within 48 hours.

Payment shall be made in three (3) installments via bank transfer (TED/PIX) to the account specified by the Service Provider:

• Installment 1 (30%): R$ 62,937.00 — due upon signing of this Purchase Order and mobilization in Brasília.
• Installment 2 (40%): R$ 83,916.00 — due upon delivery and acceptance of the interim geological report (Items 01–04).
• Installment 3 (30%): R$ 62,937.00 — due upon delivery and acceptance of the final consolidated report (Item 06) and completion of on-site supervision (Item 05).

Overdue payments shall accrue interest at the rate of 1% per month plus a 2% late fee, in accordance with Brazilian commercial law (Código Civil, Art. 412).

All field activities, laboratory coordination, and report deliveries shall take place in Brasília, Distrito Federal, Brazil. The primary project site is located at Quadra 14, Lote 07, Asa Sul, Brasília — D.F., CEP 70300-000. The Service Provider’s Geologist shall be physically present at the site during all scheduled fieldwork and supervision visits.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the geological services to be rendered in Brasília, Brazil.

This Purchase Order (PO-BR-BSB-2025-0487) is valid for 90 calendar days from the date of issue. Any modifications must be made in writing and signed by both parties. This document is governed by the laws of the Federative Republic of Brazil, with jurisdiction of the courts of Brasília, D.F.
