This Purchase Order authorizes the engagement of a qualified Geologist and associated geological field team to perform comprehensive subsurface characterization, lithological mapping, and geotechnical assessment for the Santiago metropolitan infrastructure expansion project. The Geologist shall be responsible for all field investigations, laboratory sample analysis coordination, and the preparation of a final geological report in accordance with the Chilean National Geotechnical Standards (NCh 1970) and the regulations established by the Servicio Nacional de Geología y Minería (SERNAGEOMIN) of Chile Santiago.
The Geologist must hold a minimum of ten (10) years of professional experience in structural and engineering geology, with demonstrated expertise in the geological formations characteristic of the Santiago basin, including the Lo Barnechea Formation, the Santiago Group sediments, and the underlying metamorphic basement rocks. All fieldwork shall be conducted within the administrative boundaries of the Metropolitan Region of Santiago, Chile, with primary operations centered in the communes of Las Condes, Providencia, and Ñuñoa.

Payment shall be made in Chilean Pesos (CLP) via electronic bank transfer to the vendor's designated account. The payment schedule is as follows: thirty percent (30%) upon execution of this Purchase Order; forty percent (40%) upon completion of all fieldwork and borehole logging; and thirty percent (30%) upon delivery and acceptance of the final geological report. Invoices must reference Purchase Order No. PO-CL-2025-04871 and include the vendor's RUT. Payment terms are net thirty (30) days from the date of invoice receipt. Late payments shall accrue interest at the rate established by the Banco Central de Chile.
- The Geologist and all supporting personnel shall comply with all applicable Chilean labor laws, occupational health and safety regulations (Ley 16.744), and environmental permits required for fieldwork in the Santiago Metropolitan Region.
- All geological data, core samples, and reports generated under this Purchase Order shall remain the exclusive property of Andean Geological Survey & Consulting S.A. The Geologist shall not disclose, publish, or share any project-specific findings with third parties without prior written consent.
- The Geologist shall maintain professional liability insurance with a minimum coverage of CLP 500,000,000, valid for the entire duration of the contract. A certificate of insurance shall be provided prior to commencement of fieldwork.
- Any changes to the scope of work, additional boreholes, or extended fieldwork beyond the quantities specified in this Purchase Order shall require a formal Change Order signed by both parties before execution.
- The Geologist shall submit weekly progress reports every Friday by 17:00 Chile Standard Time (CLT) to the Buyer's Project Manager. A final progress meeting shall be held in Santiago, Chile, upon completion of all deliverables.
- This Purchase Order is governed by the laws of the Republic of Chile. Any disputes arising from this agreement shall be resolved through arbitration in Santiago, Chile, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Santiago.
- The vendor warrants that the Geologist assigned to this project holds a valid registration with the Colegio de Geólogos de Chile and that all professional qualifications stated in Section 2 are current and in good standing.
- Force majeure events, including but not limited to seismic activity, volcanic events, or government-mandated work stoppages in Chile Santiago, shall suspend obligations under this Purchase Order without penalty to either party for a period not exceeding thirty (30) days.
By signing below, both parties acknowledge and agree to all terms, conditions, and pricing outlined in this Purchase Order for the engagement of the Geologist and associated geological services in Santiago, Chile.
