This Purchase Order is issued by Beijing Geological Survey & Resource Development Co., Ltd. for the engagement of a qualified Geologist to provide comprehensive geological survey, site assessment, and mineral resource evaluation services within the China Beijing metropolitan area and its surrounding geological formations. The Geologist shall be responsible for conducting field investigations, laboratory sample analysis coordination, subsurface mapping, and the preparation of detailed geological reports in accordance with the national standards of the People's Republic of China and the specific technical requirements outlined in Annex A of this Purchase Order.
The Geologist engaged under this Purchase Order must hold a minimum of a Master's degree in Geology or a related earth science discipline from an accredited institution, possess at least ten (10) years of professional field experience in geological surveying within China, and maintain a valid professional registration with the China Geological Society. The Geologist shall be physically present at the designated project sites in China Beijing for a minimum of 180 working days during the contract period.

Payment for the services rendered under this Purchase Order shall be made in Chinese Yuan (CNY) via bank transfer to the supplier's designated account. The payment schedule is structured as follows: thirty percent (30%) upon execution of this Purchase Order and commencement of the Geologist's fieldwork in China Beijing; forty percent (40%) upon delivery and acceptance of the second geological report; and the remaining thirty percent (30%) upon final completion of all deliverables and the Geologist's sign-off on the project closure documentation. All invoices must reference Purchase Order number CN-BJ-2025-04782 and shall be submitted to the Procurement Department in China Beijing no later than the fifth business day of each month.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing.
- The Geologist engaged under this Purchase Order shall comply with all applicable environmental protection regulations, geological survey licensing requirements, and occupational safety standards enforced by the Ministry of Natural Resources of China and the local authorities in China Beijing.
- The supplier warrants that the Geologist assigned to this Purchase Order shall not be concurrently engaged in any competing geological survey project within a fifty-kilometre radius of the China Beijing project site during the contract term.
- All geological data, core samples, borehole logs, and reports produced by the Geologist under this Purchase Order shall be the exclusive intellectual property of the Purchasing Entity. The Geologist shall not reproduce, publish, or disclose such materials to any third party without prior written consent.
- The supplier shall maintain comprehensive professional liability insurance with a minimum coverage of CNY 5,000,000 for the duration of this Purchase Order, naming the Purchasing Entity as an additional insured party.
- Failure by the Geologist to meet the scheduled milestones outlined in Annex A of this Purchase Order shall entitle the Purchasing Entity to withhold the corresponding payment tranche and issue a formal notice of non-compliance within five (5) business days.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. Any verbal modifications shall hold no legal effect.
- The Geologist shall submit a weekly progress report to the Purchasing Entity's project manager in China Beijing every Friday by 17:00 local time, detailing field activities completed, samples collected, and any geological anomalies observed.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Geologist professional services in China Beijing. The terms set forth herein, including all annexes and technical specifications referenced, form an integral part of this Purchase Order and shall be read in conjunction with the master service agreement dated 01 March 2025 between the two parties.
