This Purchase Order is issued by Guangzhou TerraForm Geological Consulting Co., Ltd. to formally engage the services of a qualified Geologist for the purpose of conducting comprehensive geological surveys, site assessments, and environmental risk evaluations across multiple construction and infrastructure development projects located within the administrative boundaries of China Guangzhou. The Geologist shall provide expert analysis of soil composition, bedrock stability, seismic vulnerability, groundwater contamination potential, and mineral resource mapping in accordance with the national standards set forth by the Ministry of Natural Resources of the People's Republic of China.
The scope of work under this Purchase Order encompasses fieldwork, laboratory coordination, data interpretation, and the preparation of detailed technical reports. The Geologist is expected to operate primarily in the Tianhe, Yuexiu, Baiyun, and Panyu districts of China Guangzhou, with the possibility of extending operations to the surrounding Pearl River Delta region as project requirements dictate. All deliverables must comply with the GB/T 50021-2001 Code for Seismic Design of Buildings and the relevant Guangdong Provincial Geological Survey Regulations.

- Acceptance of Purchase Order: This Purchase Order shall become a binding contract upon written acceptance by the Geologist (Seller) within five (5) business days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Scope and Deliverables: The Geologist shall deliver all reports, data sets, and technical documentation in both Chinese (Simplified) and English. All fieldwork must be conducted within the jurisdiction of China Guangzhou unless otherwise authorized in writing by the Buyer.
- Qualifications: The Geologist must hold a valid professional registration with the China Geological Society and a minimum of ten (10) years of documented experience in engineering geology, environmental geology, or hydrogeology. A copy of the professional license shall be submitted prior to commencement of work.
- Payment Schedule: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon delivery of interim reports (Items 01–03), and 30% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the account designated by the Geologist.
- Intellectual Property: All data, reports, maps, and analyses produced under this Purchase Order shall be the exclusive property of Guangzhou TerraForm Geological Consulting Co., Ltd. The Geologist retains the right to reference the work in academic publications only with prior written consent.
- Health, Safety, and Compliance: The Geologist shall comply with all occupational health and safety regulations applicable in China Guangzhou, including but not limited to the Work Safety Law of the PRC and local Guangdong Province environmental protection ordinances. The Geologist shall carry adequate professional liability insurance with a minimum coverage of CNY 2,000,000.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified herein.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, China Guangzhou.
- Confidentiality: The Geologist agrees to maintain strict confidentiality regarding all proprietary data, site locations, and project details obtained during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
