1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by Rhein-Main Infrastructure Development GmbH (hereinafter referred to as the "Buyer") to engage the services of Dr. Helena Kessler, a licensed and certified Geologist (hereinafter referred to as the "Geologist" or "Vendor"), for the provision of comprehensive geological survey, site assessment, and subsurface analysis services. The entire scope of work under this Purchase Order shall be executed within the city of Germany Frankfurt and its immediate metropolitan area, specifically in the districts of Sachsenhausen, Bornheim, and the Frankfurt Airport (FRA) industrial zone. The Geologist is engaged to support the Buyer's planned underground utility corridor project, which requires detailed geological characterization of the soil and rock strata beneath the designated construction footprint.

4. Payment Terms

Payment shall be made in three (3) installments via bank transfer to the Geologist's designated account (IBAN: DE44 5001 0517 5407 3249 01, BIC: PBNKDEFF). The first installment of 30% (€78,084.83) is due upon execution of this Purchase Order. The second installment of 40% (€104,113.10) is due upon delivery and acceptance of the Final Geological Report. The final installment of 30% (€78,084.82) is due within 30 calendar days after the completion of the on-site Geologist supervision period. All payments are subject to the standard German commercial payment terms (Zahlungsbedingungen) as governed by the German Civil Code (BGB).

5. Delivery and Service Location

All fieldwork, laboratory coordination, and on-site supervision activities under this Purchase Order shall be conducted exclusively within the administrative boundaries of Germany Frankfurt (Stadt Frankfurt am Main, Hessen). The primary project site is located at the intersection of Hanauer Landstraße and the A661 motorway corridor. The Geologist shall comply with all local regulations of the Frankfurt municipal authority (Stadt Frankfurt am Main) and the Hessian State Office for Environment and Consumer Protection (HLUG) regarding environmental protection, noise restrictions, and traffic management during field operations.

6. Terms and Conditions

6.1 This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.

6.2 The Geologist warrants that all services shall be performed in accordance with the professional standards of the German Geological Society (Deutsche Geologische Gesellschaft, DGG) and the relevant DIN and VDI standards applicable to geotechnical and geological engineering in Germany.

6.3 The Geologist shall maintain professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of €5,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.

6.4 All data, reports, and deliverables produced under this Purchase Order shall remain the exclusive intellectual property of the Buyer. The Geologist shall not disclose any site-specific geological information to third parties without prior written consent.

6.5 The Geologist shall comply with all applicable German labor laws, occupational health and safety regulations (Arbeitsschutzgesetz), and environmental protection statutes (Bundes-Immissionsschutzgesetz) while conducting fieldwork in Germany Frankfurt.

6.6 Either party may terminate this Purchase Order with 30 days' written notice in the event of material breach. In such case, the Buyer shall pay for all services rendered up to the date of termination.

7. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding agreement for the geological services described herein to be performed in Germany Frankfurt.
