This Purchase Order is issued by PT Nusantara Geological Survey & Exploration Co., Ltd. to engage a qualified Geologist for comprehensive geological survey, site assessment, and environmental risk evaluation services to be conducted across the Indonesia Jakarta metropolitan area and its surrounding geological formations. The selected Geologist shall provide all technical expertise, fieldwork, laboratory coordination, and final reporting as detailed below.

4. TERMS AND CONDITIONS

1. Engagement of the Geologist: The Seller, identified as a licensed and certified Geologist registered with the Indonesian Association of Geologists (IAGI), shall personally oversee all technical deliverables. Substitution of the primary Geologist requires prior written approval from the Buyer.
2. Project Location: All fieldwork, laboratory coordination, and site inspections under this Purchase Order shall be conducted within the administrative boundaries of Indonesia Jakarta, including the cities of North Jakarta, South Jakarta, West Jakarta, East Jakarta, and Central Jakarta, as well as the adjacent Tangerang and Bekasi geological zones where explicitly stated.
3. Timeline: The Geologist shall commence fieldwork no later than 21 July 2025 and complete all deliverables by 30 November 2025. Delays attributable to force majeure events (including monsoon flooding common in Indonesia Jakarta) shall be addressed through mutual written agreement.
4. Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon completion of all fieldwork and borehole logging, and 30% upon acceptance of the final geological report. All payments shall be processed via bank transfer to the account specified by the Geologist's firm.
5. Regulatory Compliance: The Geologist shall ensure all work complies with Indonesian national regulations, including Government Regulation No. 22 of 2021 on Geological Services, and all applicable Indonesia Jakarta provincial environmental permits. The Geologist is responsible for obtaining any required local permits from the Indonesia Jakarta City Government.
6. Intellectual Property: All geological data, maps, reports, and analyses produced under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent.
7. Confidentiality: The Geologist and all associated personnel shall maintain strict confidentiality regarding subsurface data, proprietary geological findings, and any sensitive environmental information pertaining to the Indonesia Jakarta region.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Indonesia Jakarta, and if unresolved, through arbitration under the rules of the Indonesian National Board of Arbitration (BANI) seated in Indonesia Jakarta.
9. Termination: Either party may terminate this Purchase Order with 30 days written notice. In the event of termination, the Buyer shall compensate the Geologist for all work completed and materials procured up to the termination date.

5. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and agree to all terms, conditions, and scope of work outlined in this Purchase Order for the engagement of the Geologist in Indonesia Jakarta. This document constitutes a binding agreement effective from the date of the last signature.
