1. Description of Services – Geologist Engagement

This Purchase Order is issued by Mesopotamia Geoscience & Engineering Co. Ltd. to formally engage the above-named Geologist for the provision of comprehensive geological survey, site assessment, and subsurface characterization services in Iraq Baghdad. The Geologist shall be responsible for conducting field investigations, core sampling, geological mapping, and the preparation of detailed technical reports in accordance with the Iraqi Ministry of Natural Resources standards and the project specifications outlined in Annex A of this Purchase Order. All work shall be performed within the designated operational zones in the Al-Mansour and Al-Karrada districts of Baghdad, Iraq, and shall comply with all applicable Iraqi federal and municipal regulations governing geological exploration activities.

2. Scope of Work and Deliverables

3. Terms and Conditions
  1. Commencement: The Geologist shall commence all fieldwork activities in Iraq Baghdad no later than 21 June 2025. Any delay beyond this date without written approval from the client shall result in a penalty of 0.5% of the total Purchase Order value per calendar day of delay.
  2. Completion Deadline: All deliverables, including the final Geological Report, shall be submitted no later than 15 August 2025. The Geologist is expected to complete all on-site work within Iraq Baghdad by 30 July 2025.
  3. Payment Terms: Payment shall be made in three (3) installments: 30% upon signing and commencement of work, 40% upon completion of all fieldwork and borehole logging, and 30% upon acceptance of the final Geological Report. All payments shall be made via bank transfer to the account specified by the Geologist. Invoices must reference this Purchase Order number (PO-2025-BGH-00472).
  4. Compliance: The Geologist shall hold a valid Iraqi geological practice license and shall comply with all safety regulations, environmental protection laws, and municipal permits required for geological survey work in Baghdad, Iraq. The Geologist is responsible for obtaining any additional local permits from the Baghdad Municipal Council or the Iraqi Geological Survey Authority.
  5. Insurance: The Geologist shall maintain professional indemnity insurance and personal accident coverage for the duration of the engagement. Certificates of insurance shall be provided prior to commencement of work in Iraq Baghdad.
  6. Confidentiality: All geological data, site-specific information, and project documentation generated under this Purchase Order shall remain the exclusive property of Mesopotamia Geoscience & Engineering Co. Ltd. The Geologist shall not disclose, publish, or share any project information with third parties without prior written consent.
  7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to political instability, natural disasters, or government-imposed restrictions in Iraq Baghdad. Affected parties must notify the other within 48 hours of the occurrence.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law.
  9. Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Geologist shall be compensated for all work completed and documented up to the date of termination.
4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Geologist confirms that all services described herein shall be performed with professional diligence, in full compliance with Iraqi geological standards, and within the agreed timelines for the Iraq Baghdad project site.
