2. Description of Services — Geologist Engagement in Japan Osaka

This Purchase Order is issued to formally engage a qualified Geologist to perform comprehensive geological survey, subsurface analysis, and environmental risk assessment services in the Japan Osaka metropolitan region. The Geologist shall be responsible for conducting field investigations, laboratory sample analysis, and the preparation of detailed geological reports in accordance with the standards set forth by the Japan Society of Engineering Geology and the Osaka Prefectural Government's geological survey regulations. All work under this Purchase Order shall be executed within the administrative boundaries of Japan Osaka, specifically within the wards of Kita-ku, Chuo-ku, and Nishi-ku, where the purchaser's infrastructure development project is situated.

4. Terms & Conditions
  1. Scope of Geologist Work: The Geologist engaged under this Purchase Order shall hold a valid Japanese geological survey license (Chikisan Chosa Shiken) and shall comply with all applicable regulations of the Japan Osaka municipal government, including the Osaka City Building Standards Ordinance and the National Land Planning Act. The Geologist shall not subcontract any portion of the geological fieldwork without prior written approval from the Purchaser.
  2. Compliance with Japan Osaka Regulations: All geological survey activities conducted in Japan Osaka under this Purchase Order shall adhere to the Osaka Prefectural Environmental Impact Assessment Guidelines. The Geologist shall obtain all necessary permits from the Japan Osaka Bureau of Environment prior to commencing any borehole drilling or ground-penetrating radar operations within the designated project zones.
  3. Delivery & Reporting: The Geologist shall submit interim progress reports every two weeks to the Purchaser's project office in Japan Osaka. The final geological report shall be delivered in both Japanese and English, in hard copy (three bound copies) and digital format (PDF and editable GIS shapefiles), to the Japan Osaka municipal planning office no later than the end of Week 14.
  4. Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of the field survey phase (end of Week 6), and 30% upon acceptance of the final Geologist report by the Japan Osaka review committee. All payments shall be made via bank transfer to the account specified by the Geologist's firm, denominated in Japanese Yen (JPY).
  5. Insurance & Liability: The Geologist shall maintain professional indemnity insurance with a minimum coverage of 100,000,000 JPY and workers' compensation insurance for all field personnel operating in Japan Osaka. The Geologist shall be solely liable for any damage to existing infrastructure, utilities, or third-party property caused by geological survey activities conducted under this Purchase Order within the Japan Osaka project area.
  6. Confidentiality: All geological data, subsurface records, and proprietary information generated by the Geologist during the execution of this Purchase Order in Japan Osaka shall be treated as confidential. The Geologist shall not disclose, publish, or share any findings with third parties without the express written consent of the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Geologist shall be compensated for all services rendered and materials procured up to the date of termination, as documented in the Japan Osaka project log. The Purchaser reserves the right to terminate immediately in the event of material breach by the Geologist, including failure to comply with Japan Osaka safety regulations or submission of falsified geological data.
  8. Governing Law & Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or in connection with this Purchase Order, including the performance of the Geologist's obligations in Japan Osaka, shall be resolved through arbitration administered by the Japan Commercial Arbitration Association (JCAA) in Osaka, Japan. The seat of arbitration shall be Japan Osaka, and the language of arbitration shall be Japanese.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance under this Purchase Order caused by natural disasters (including earthquakes, tsunamis, or volcanic activity relevant to the Japan Osaka region), government-mandated shutdowns, or other events beyond reasonable control. The Geologist shall notify the Purchaser in writing within 48 hours of any such event affecting operations in Japan Osaka.
5. Acceptance & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Geologist to perform geological survey and consulting services in Japan Osaka. This Purchase Order constitutes a binding agreement upon the signature of both authorized representatives.
