This Purchase Order is issued by Almaty Geological Survey & Exploration Company LLP (hereinafter referred to as the "Buyer") to engage the professional services of a qualified Geologist, Dr. Aibek Tulegenov (hereinafter referred to as the "Geologist" or "Supplier"), for the purpose of conducting comprehensive geological field surveys, subsurface analysis, and mineral resource assessments within the Almaty region of Kazakhstan. This Purchase Order governs all terms, conditions, deliverables, and payment arrangements related to the engagement of the Geologist and shall remain in full force and effect until all obligations specified herein are satisfied.
The Buyer requires the Geologist to perform site-specific geological investigations in support of a planned infrastructure development project located in the southern foothills of the Zailiysky Alatau mountain range, approximately 35 kilometres south of central Kazakhstan Almaty. The Geologist shall be responsible for producing a detailed geological report, soil and rock classification documentation, seismic risk assessment, and recommendations regarding foundation engineering suitability for the proposed construction site.

Payment for this Purchase Order shall be made in Tenge (KZT) via bank transfer to the account designated by the Geologist. The payment schedule is as follows:
- 30% advance payment (KZT 1,364,832) due within 5 business days of acceptance of this Purchase Order.
- 40% progress payment (KZT 1,819,776) due upon completion of Milestone M2 (borehole work).
- 30% final payment (KZT 1,364,832) due within 10 business days of acceptance of the final report at Milestone M4.
All payments are subject to the Buyer receiving a valid invoice from the Geologist referencing this Purchase Order number (PO-KZ-ALM-2025-0472). Late payments shall accrue interest at the rate of 0.05% per calendar day in accordance with the Civil Code of the Republic of Kazakhstan.
- Qualification Requirement: The Geologist warrants that he holds a valid professional licence issued by the Ministry of Energy of the Republic of Kazakhstan and possesses a minimum of ten (10) years of field experience in geological surveying within the Kazakhstan Almaty region.
- Compliance: All work performed under this Purchase Order shall comply with applicable Kazakhstani legislation, including the Law of the Republic of Kazakhstan "On Subsoil and Subsoil Use," as well as all relevant GOST and SNiP standards governing geological investigations.
- Insurance: The Geologist shall maintain professional liability insurance with a minimum coverage of KZT 10,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
- Confidentiality: All data, samples, and reports generated under this Purchase Order are the exclusive property of the Buyer. The Geologist shall not disclose, publish, or share any project-specific information with third parties without prior written consent.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Geologist shall deliver all completed work products and raw data.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan. Any disputes shall be resolved through the Almaty City Court of Kazakhstan Almaty.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government actions, or other events beyond reasonable control, provided written notice is given within 48 hours of the event.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of Geologist professional services in Kazakhstan Almaty.
