Description of Services – Geologist Engagement

This Purchase Order is issued by Andes Geological Consulting S.A.C. to formally authorize and request the professional services of a certified Geologist, Dr. María Elena Quispe Rojas, and her supporting team at TerraFirma Geosciences S.R.L. The scope of work pertains to the geological survey, site characterization, and environmental risk assessment for the "Lima Metro Extension – Phase III" infrastructure project, located in the districts of San Juan de Lurigancho and El Agustino, Lima, Peru. The Geologist shall be responsible for conducting field investigations, core sampling, laboratory coordination, and the preparation of a comprehensive geological report in compliance with the Peruvian Ministry of Energy and Mines (MINEM) regulations and the National Environmental Impact Assessment System (SEIA).

Terms and Conditions

This Purchase Order constitutes a binding agreement between Andes Geological Consulting S.A.C. (Buyer) and TerraFirma Geosciences S.R.L. (Vendor) for the provision of Geologist professional services in the city of Lima, Peru.
The Geologist shall hold a valid professional registration with the Colegio de Geólogos del Perú and shall maintain professional liability insurance with a minimum coverage of PEN 500,000 for the duration of the contract.
All fieldwork, sampling, and reporting activities shall be conducted in compliance with the Peruvian Mining Law (Ley General de Minería, D.S. 014-92-EM), the Environmental Law (Ley General del Ambiente, Ley 28611), and applicable municipal regulations of the Municipality of Lima.
Payment shall be made within thirty (30) calendar days from the date of receipt of a valid Peruvian electronic invoice (Factura Electrónica) issued in accordance with SUNAT regulations. Payment shall be processed via bank transfer to the account designated by the Vendor.
The Geologist shall submit a detailed work plan within five (5) business days of the effective date of this Purchase Order. All deliverables, including the final geological report, shall be submitted in both digital (PDF) and hard-copy (3 copies) formats to the project office in San Isidro, Lima, Peru.
Any change in scope, additional boreholes, or extended fieldwork beyond the quantities specified in this Purchase Order shall require a written Change Order signed by both parties prior to execution.
The Vendor warrants that all data, analyses, and conclusions provided by the Geologist shall be accurate, free from conflict of interest, and in full compliance with the Peruvian National Technical Standards (NTP) and applicable ASTM/ISO international standards.
In the event of non-performance or breach of this Purchase Order, the Buyer reserves the right to terminate the agreement with fourteen (14) days' written notice and to seek remedies as provided under the Peruvian Civil Code and the Peruvian Commercial Code.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru. Any disputes arising hereunder shall be resolved by the competent courts of Lima, Peru, or by arbitration before the Lima Chamber of Commerce, at the election of the Buyer.
Confidentiality: All geological data, site-specific information, and project documentation generated under this Purchase Order shall be treated as proprietary to the Buyer. The Geologist and the Vendor shall not disclose such information to any third party without prior written consent.

Acceptance and Authorization

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of the Geologist in Lima, Peru. This document is valid for a period of ninety (90) days from the date of issue, after which it shall be considered expired unless renewed in writing.
