1. This Purchase Order is issued by Philippine Geological Survey & Environmental Consulting, Inc. (hereinafter "the Buyer") for the professional services of a licensed Geologist (hereinafter "the Geologist" or "the Vendor") to be performed within the jurisdiction of Philippines Manila and its immediate metropolitan area.
2. The Geologist shall hold a valid Professional Regulation Commission (PRC) license as a Geologist in the Republic of the Philippines and shall maintain full professional liability insurance coverage throughout the duration of this Purchase Order engagement.
3. All fieldwork, site inspections, and Geologist consultations referenced in this Purchase Order shall be conducted at the designated project locations in Philippines Manila as specified in the attached site schedule. The Geologist is responsible for all travel, equipment, and personal protective gear required for safe field operations.
4. Payment terms: Net forty-five (45) days from the date of receipt of a valid Official Receipt (OR) and the corresponding Geologist's Technical Report or milestone deliverable. Payment shall be made via bank transfer to the account designated by the Geologist's firm.
5. The Geologist shall submit a progress report every ten (10) working days to the Buyer's Project Manager in Philippines Manila. Failure to submit timely reports may result in a deduction of 1.5% of the outstanding balance per day of delay.
6. All deliverables, including but not limited to borehole logs, geotechnical maps, hazard assessments, and the final Geologist's Technical Report, shall be submitted in both hard copy (three (3) sets) and digital format (PDF and editable CAD/GIS files) to the Buyer's office in Philippines Manila.
7. The Geologist warrants that all data, interpretations, and recommendations provided under this Purchase Order are accurate, based on recognized geoscience methodologies, and comply with the Philippine National Building Code, DENR Administrative Orders, and applicable PRC standards for Geologist practice.
8. This Purchase Order is subject to the Philippine Civil Code and the Revised Penal Code of the Philippines. Any disputes arising from this Purchase Order shall be resolved through mediation in Philippines Manila before resorting to litigation in the courts of Makati City.
9. The Geologist shall not subcontract any portion of the services outlined in this Purchase Order without prior written consent from the Buyer. All Geologist personnel assigned to the Philippines Manila project sites must be identified in writing at least five (5) working days before commencement.
10. This Purchase Order shall remain in full force and effect until all line items are completed, all deliverables are accepted in writing by the Buyer, and final payment has been settled in full.

This Purchase Order is authorized and approved for the engagement of the above-named Geologist for the Philippines Manila geotechnical and environmental geology project. The undersigned confirm that all terms, conditions, and scope of work have been reviewed and accepted.
