This Purchase Order is issued by the Volga Basin Geological Research Institute to procure the professional services of a certified Geologist along with associated geological survey equipment and field instrumentation. The contracted Geologist shall be responsible for conducting comprehensive geological assessments, subsurface mapping, and mineral resource evaluations across designated survey zones within the Russia Moscow metropolitan area and its surrounding geological formations. This Purchase Order governs all terms, conditions, deliverables, and financial obligations between the purchasing entity and the supplier for the duration of the engagement.
The Geologist engaged under this Purchase Order must hold a minimum of fifteen (15) years of professional experience in structural geology, sedimentary basin analysis, and applied geophysics. The Geologist shall be fully qualified to operate within the regulatory framework of Russia Moscow, including compliance with all federal geological survey regulations, environmental protection statutes, and local municipal permitting requirements applicable to the Russia Moscow region.

The Geologist contracted under this Purchase Order shall perform the following duties within the Russia Moscow jurisdiction:
- Conduct a full geological reconnaissance survey covering approximately 340 square kilometers of the Moscow Basin, including the Oka River floodplain and the western Cretaceous deposits.
- Deploy and operate all seismic and geophysical equipment listed in this Purchase Order to generate subsurface structural profiles at a minimum depth of 2,500 meters.
- Collect, label, preserve, and transport a minimum of 500 geological core samples for laboratory analysis, ensuring chain-of-custody documentation compliant with Russia Moscow federal standards.
- Produce weekly progress reports detailing field observations, preliminary interpretations, and any anomalies encountered by the Geologist during the survey period.
- Deliver a final comprehensive geological report in both Russian and English, including 3D geological models, resource estimates, and environmental impact assessments specific to the Russia Moscow region.
- Coordinate with local Russia Moscow municipal authorities, environmental agencies, and landowners to secure all necessary permits and access rights prior to fieldwork commencement.
- 4.1 This Purchase Order constitutes a binding agreement between the parties upon signature. All modifications to this Purchase Order must be made in writing and signed by both parties.
- 4.2 The Geologist and all supporting personnel must comply with all applicable laws and regulations of the Russian Federation, including but not limited to the Federal Law on Subsoil Use, the Environmental Code of Russia, and all local Russia Moscow municipal ordinances.
- 4.3 The supplier shall provide full professional indemnity insurance covering the Geologist and all field personnel for the duration of the engagement, with a minimum coverage of 50,000,000 RUB.
- 4.4 Payment shall be processed via wire transfer to the supplier's designated account within 45 calendar days of receipt of a valid invoice. Late payments shall accrue interest at 0.5% per calendar day.
- 4.5 The purchasing entity reserves the right to terminate this Purchase Order with 30 days written notice if the Geologist fails to meet the performance milestones outlined in the project schedule.
- 4.6 All geological data, samples, and reports generated under this Purchase Order shall remain the exclusive property of the Volga Basin Geological Research Institute. The Geologist and supplier shall not disclose, publish, or transfer any proprietary data to third parties without written consent.
- 4.7 Disputes arising from this Purchase Order shall be resolved through arbitration in Moscow, Russia, in accordance with the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Russia.
- 4.8 The supplier warrants that the Geologist assigned to this Purchase Order possesses all necessary certifications, licenses, and professional registrations valid in Russia Moscow at the time of engagement.
