This Purchase Order is issued to formally authorize the procurement of specialized Geologist professional services to be rendered in Russia Saint Petersburg and its surrounding territories. The contracted Geologist shall be responsible for conducting comprehensive geological surveys, subsurface analysis, and environmental risk assessments in support of the NorthBaltic Coastal Infrastructure Development Project. The Geologist must hold a valid professional certification issued by the Russian Geological Society and possess a minimum of fifteen (15) years of field experience in sedimentary and glacial geology relevant to the Saint Petersburg basin.
The services described in this Purchase Order shall be performed in strict compliance with all applicable Russian Federation federal laws, Saint Petersburg municipal regulations, and international geological surveying standards (ISO 14688, ISO 14689). The Geologist is expected to deliver all technical reports, borehole logs, and stratigraphic maps in both Russian and English to facilitate coordination with international stakeholders.

All Geologist services under this Purchase Order shall commence no later than 1 July 2025 and shall be completed in full by 31 December 2026. The Geologist is required to submit interim progress reports to the Purchasing Entity on a monthly basis, no later than the fifth (5th) business day of each subsequent month. Final deliverables, including the comprehensive geological dossier for the Russia Saint Petersburg project area, must be submitted in triplicate (two hard copies and one digital USB drive) to the offices of NorthBaltic Geological Survey & Engineering LLC in Saint Petersburg.
Payment for the services outlined in this Purchase Order shall be made in Russian Rubles (RUB) via bank transfer to the account of PetroScan Geophysical & Geological Consulting JSC. The payment schedule is as follows: thirty percent (30%) upon execution of this Purchase Order; forty percent (40%) upon completion and acceptance of the mid-project geological survey deliverables; and the remaining thirty percent (30%) upon final acceptance of all Geologist reports and the closure of the project in Russia Saint Petersburg. Invoices must be submitted with a valid VAT receipt (schet-faktura) in accordance with Russian tax legislation.
- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Supplier for the provision of Geologist services in Russia Saint Petersburg. Both parties acknowledge that this document supersedes all prior negotiations, correspondence, and preliminary agreements.
- The Geologist engaged under this Purchase Order must maintain valid professional liability insurance with a minimum coverage of 50,000,000 RUB throughout the entire contract period. Certificates of insurance shall be provided to the Purchasing Entity prior to the commencement of fieldwork.
- The Supplier warrants that the Geologist assigned to this project in Russia Saint Petersburg shall comply with all occupational health and safety regulations set forth by the Russian Ministry of Labour and Social Protection, as well as Saint Petersburg municipal safety ordinances.
- Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal agreements shall hold no legal force.
- In the event of a dispute arising from the interpretation or performance of this Purchase Order, the parties shall first attempt to resolve the matter through good-faith negotiation. Should negotiation fail within thirty (30) days, the dispute shall be submitted to the Arbitration Court of Saint Petersburg and Leningrad Oblast, Russia, in accordance with the applicable procedural rules.
- All data, samples, core materials, and intellectual property generated by the Geologist during the execution of this Purchase Order shall become the exclusive property of NorthBaltic Geological Survey & Engineering LLC upon full payment.
- The Supplier shall not subcontract any portion of the Geologist services without prior written consent from the Purchasing Entity. Any approved subcontracting must be disclosed in writing within five (5) business days.
- Force majeure events, including but not limited to natural disasters affecting the Saint Petersburg region, government-imposed restrictions, or acts of war, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within seventy-two (72) hours.
- This Purchase Order is governed by and shall be construed in accordance with the civil and commercial laws of the Russian Federation.
By signing below, both parties confirm their full understanding and acceptance of all terms, conditions, pricing, and obligations set forth in this Purchase Order for the engagement of a qualified Geologist in Russia Saint Petersburg. This document is executed in two (2) original copies, one for each party, both of which carry equal legal weight.
