This Purchase Order is issued by Atlantic Coastal Development Group (Pty) Ltd (hereinafter referred to as the "Client") to Peninsula Geosciences & Consulting (Pty) Ltd (hereinafter referred to as the "Geologist" or "Service Provider") for the provision of comprehensive geological survey, site assessment, and environmental geology services in the greater Cape Town region, South Africa. The Geologist shall perform all duties in accordance with the South African National Standards (SANS), the National Environmental Management Act (NEMA) 107 of 1998, and the Mining Charter of South Africa, as applicable to the project scope outlined below.

4.1 Commencement and Duration
The Geologist shall commence fieldwork no later than 1 July 2025. The entire scope of services, including the final Geologist's Report, shall be completed within a period of twelve (12) weeks from the date of commencement. All fieldwork must be conducted within the boundaries of the City of Cape Town, Western Cape, South Africa, unless otherwise agreed in writing by the Client.
4.2 Payment Terms
Payment shall be made in three (3) instalments: (a) 30% upon signature of this Purchase Order; (b) 40% upon completion of all fieldwork and borehole logging; and (c) 30% upon delivery and acceptance of the final Geologist's Report. All payments shall be made via electronic funds transfer (EFT) to the Service Provider's designated bank account within fourteen (14) calendar days of invoice receipt. Late payments shall attract interest at the rate prescribed by the Late Payment of Interest and Costs Act 15 of 2011 (South Africa).
4.3 Professional Standards and Compliance
The Geologist warrants that all services shall be performed in a professional and workmanlike manner, in full compliance with the South African Council for Natural Scientific Professions (SACNASP) code of conduct, the South African Institution of Civil Engineers (SAICE) guidelines, and all applicable municipal by-laws of the City of Cape Town. The Geologist shall hold valid professional indemnity insurance of no less than R5,000,000 for the duration of the engagement.
4.4 Health, Safety, and Environmental Compliance
All field operations in the Cape Town area shall comply with the Occupational Health and Safety Act 85 of 1993 (South Africa) and the City of Cape Town's environmental management regulations. The Geologist shall submit a site-specific Health and Safety Plan prior to commencing any borehole drilling or field sampling activities.
4.5 Intellectual Property and Confidentiality
All data, reports, maps, and findings generated under this Purchase Order shall become the exclusive property of the Client upon full payment. The Geologist shall not disclose any project-specific information to third parties without prior written consent from the Client, in accordance with the Protection of Personal Information Act (POPIA) 4 of 2013 (South Africa).
4.6 Cancellation and Termination
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of cancellation by the Client after fieldwork has commenced, the Geologist shall be compensated for all work completed to date, plus a 10% administrative fee on the remaining contract value.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the High Court of South Africa, Cape Town Division.
Note: This Purchase Order is subject to the Client's internal procurement policy and the requirements of the Public Finance Management Act 1 of 1999 (South Africa) where applicable. All services are to be rendered within the metropolitan area of Cape Town, South Africa, unless a specific site outside the city boundary is designated in a written addendum.
