This Purchase Order is issued by TerraFirma Engineering & Geological Consulting S.L. to formally engage the services of a qualified Geologist for the execution of geological survey, site characterization, and environmental risk assessment work in the metropolitan area of Spain Barcelona. The Geologist shall be responsible for conducting field investigations, laboratory sample analysis coordination, and the preparation of comprehensive geological reports in accordance with the technical specifications outlined in Annex A of this Purchase Order. All work shall be performed in compliance with the Spanish Geological Act (Ley 4/1985 del Colegios Profesionales de Geólogos) and the applicable regulations of the Generalitat de Catalunya.

4. Terms and Conditions- Place of Performance: All fieldwork, laboratory coordination, and on-site supervision under this Purchase Order shall be carried out within the municipality and metropolitan area of Spain Barcelona, specifically at the project sites identified in Annex A. The Geologist shall bear responsibility for all local permits, access authorizations, and compliance with the Barcelona City Council's environmental and urban planning regulations.
- Timeline: The Geologist shall commence fieldwork no later than 1 July 2025 and shall deliver the final geological report by 30 September 2025. Any extension must be approved in writing by the Purchasing Manager of TerraFirma Engineering & Geological Consulting S.L.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon completion of all fieldwork and borehole logging, and 30% upon acceptance of the final geological report. Invoices shall be paid within 30 days of receipt via bank transfer to the IBAN specified in Section 1.
- Professional Qualification: The Geologist engaged under this Purchase Order must hold a valid registration with the Col·legi de Geòlegs de Catalunya and possess a minimum of ten (10) years of professional experience in geotechnical and hydrogeological investigations in the Catalonia region, Spain Barcelona.
- Insurance: The Geologist and GeoConsult Iberia S.L. shall maintain professional liability insurance with a minimum coverage of €1,000,000 per claim, valid throughout the duration of the contract. A certificate of insurance shall be provided prior to commencement of work.
- Intellectual Property: All geological data, reports, maps, and analyses produced under this Purchase Order shall become the exclusive property of TerraFirma Engineering & Geological Consulting S.L. upon full payment. The Geologist shall not reproduce or distribute any deliverables without prior written consent.
- Confidentiality: The Geologist agrees to maintain strict confidentiality regarding all site-specific geological data, client information, and project details obtained in the course of performing services in Spain Barcelona. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Geologist shall be compensated for all work completed up to the date of termination, plus reasonable demobilization costs.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated work stoppages in Spain Barcelona, or public health emergencies, provided that the affected party notifies the other within 48 hours.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Geologist for the geological services described herein, to be performed in Spain Barcelona. This Purchase Order supersedes all prior negotiations, quotations, and correspondence between the parties regarding this specific engagement.
