This Purchase Order is issued by Iberia Geotechnical Solutions S.L. to formally request and authorize the procurement of professional Geologist services to be rendered in Spain Madrid and its surrounding metropolitan area. The contracted Geologist shall provide comprehensive geological surveying, subsurface analysis, and geotechnical reporting in accordance with the Spanish Geological Survey (Instituto Geológico y Minero de España) standards and the applicable regulations of the Comunidad de Madrid.
The scope of work encompasses the full geological assessment of a 14-hectare development parcel located in the municipality of Alcorcón, within the greater Spain Madrid region. The Geologist engaged under this Purchase Order shall be a licensed professional registered with the Ilustre Colegio Oficial de Geólogos de España and shall possess a minimum of fifteen (15) years of field experience in urban and peri-urban geological investigations within the Madrid basin.

The Geologist and the supporting team from GeoMadrid Consultores Profesionales S.L. shall commence fieldwork in Spain Madrid no later than 1 July 2025. The initial reconnaissance phase shall be completed within fourteen (14) calendar days of commencement. Borehole drilling and sample collection shall be conducted between 15 July and 30 August 2025. Laboratory analysis and the seismic microzonation study shall be finalized by 30 September 2025. The final geological report, authored and signed by the principal Geologist, shall be delivered to the Purchaser no later than 15 October 2025. All deliverables must comply with the technical specifications outlined in Annex A of this Purchase Order.
Payment for the services described in this Purchase Order shall be made in three (3) instalments via bank transfer to the account designated by GeoMadrid Consultores Profesionales S.L.:
Instalment 1 (30%): EUR 25,486.23 — due upon signature and acceptance of this Purchase Order, prior to the commencement of fieldwork in Spain Madrid.
Instalment 2 (40%): EUR 33,981.64 — due upon completion of all borehole drilling, sample collection, and laboratory testing, subject to written confirmation by the Purchaser.
Instalment 3 (30%): EUR 25,486.23 — due upon delivery and formal acceptance of the final geological report by the Geologist.
All invoices must reference this Purchase Order number (ES-MAD-2025-04782) and shall be issued in accordance with Spanish invoicing regulations (Ley 58/2003 General Tax Law).
- This Purchase Order is governed by the laws of the Kingdom of Spain, and any disputes arising from its execution shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
- The Geologist engaged under this Purchase Order shall maintain full professional liability insurance with a minimum coverage of EUR 1,000,000 per occurrence, valid throughout the duration of the contract in Spain Madrid.
- All geological data, core samples, and reports produced under this Purchase Order shall remain the exclusive intellectual property of Iberia Geotechnical Solutions S.L. upon full payment.
- The Supplier warrants that the Geologist assigned to this project holds a valid professional licence issued by the Ilustre Colegio Oficial de Geólogos de España and complies with all applicable Spanish and European Union environmental and occupational health regulations.
- Any modification to the scope of work, timeline, or pricing must be agreed upon in writing via a formal amendment to this Purchase Order. Verbal instructions shall not constitute a valid change order.
- The Supplier shall provide weekly progress reports to the Purchaser during the active fieldwork phase in Spain Madrid, including photographs, preliminary findings, and any anomalies detected by the Geologist.
- In the event of force majeure (including but not limited to severe weather events, natural disasters, or government-mandated work stoppages in the Madrid region), the affected party shall notify the other within forty-eight (48) hours, and the project timeline shall be extended accordingly.
- The Purchaser reserves the right to terminate this Purchase Order with thirty (30) days written notice if the Geologist fails to meet the performance milestones outlined in Section 4, after a formal cure period of fifteen (15) days has elapsed.
- All communications related to this Purchase Order shall be directed to the contact persons identified in Section 1 and shall be in writing (email or registered post) to ensure a verifiable record.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a professional Geologist in Spain Madrid. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
