This Purchase Order is issued by the Nile Basin Geological Survey Authority to engage the services of a qualified Geologist for the purpose of conducting comprehensive geological field surveys, subsurface analysis, and mineral resource assessments within the designated operational zones of Sudan Khartoum and its surrounding administrative regions. The Geologist shall perform all duties in accordance with the technical specifications outlined in Annex A attached to this Purchase Order and in compliance with all applicable Sudanese geological and environmental regulations.

All services described in this Purchase Order shall be executed within the administrative boundaries of Sudan Khartoum, encompassing the three cities of Khartoum, Khartoum North, and Khartoum East, as well as the Omdurman and Sennar periphery zones where geological continuity requires extended fieldwork. The Geologist shall coordinate all field activities with the local municipal geological offices and obtain any necessary site access permits from the relevant Sudanese authorities prior to commencing work at each designated location.

  • Payment Schedule: Payment for this Purchase Order shall be made in three (3) equal instalments. The first instalment (33.33%) shall be due within 30 days of the formal acceptance of this Purchase Order by the Geologist. The second instalment (33.33%) shall be due upon submission and approval of the interim geological survey report. The final instalment (33.34%) shall be due within 45 days of the successful delivery and acceptance of all final deliverables.
  • Payment Method: All payments shall be made via bank transfer to the account specified in Section 1 of this Purchase Order. The currency of payment shall be the Sudanese Pound (SDG) at the prevailing Central Bank of Sudan exchange rate on the date of each payment.
  • Withholding: The Purchasing Entity reserves the right to withhold up to 10% of each instalment as a performance retention, to be released upon final satisfactory completion of all obligations under this Purchase Order.
  • Taxes and Levies: All applicable value-added taxes, professional service levies, and any other statutory deductions mandated by the Republic of the Sudan shall be borne by the Geologist and deducted at source in accordance with Sudanese tax law.
  • 5.1 This Purchase Order constitutes a binding agreement between the Nile Basin Geological Survey Authority and the named Geologist upon signature by both parties. No modification to the scope, pricing, or timeline of this Purchase Order shall be valid unless executed in writing and countersigned by both parties.
  • 5.2 The Geologist warrants that all geological data, interpretations, and reports delivered under this Purchase Order shall be accurate, original, and free from intellectual property infringement. The Geologist shall maintain full professional indemnity insurance with a minimum coverage of SDG 5,000,000 for the duration of the engagement.
  • 5.3 The Geologist shall comply with all health, safety, and environmental regulations applicable to geological fieldwork in Sudan Khartoum, including but not limited to the Sudanese Environmental and Natural Resources Protection Act and the Ministry of Mineral Resources operational guidelines.
  • 5.4 In the event of force majeure, including but not limited to flooding of the Nile River, civil unrest, or government-imposed restrictions on fieldwork in Sudan Khartoum, either party may suspend performance under this Purchase Order without penalty, provided written notice is given within 72 hours of the event.
  • 5.5 All geological samples, core materials, and field data collected under this Purchase Order shall become the exclusive property of the Nile Basin Geological Survey Authority upon completion of the relevant work package.
  • 5.6 Disputes arising from this Purchase Order shall be resolved through arbitration in Khartoum, Sudan, in accordance with the Sudanese Arbitration Act. The language of arbitration shall be English.
  • 5.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan.

All deliverables under this Purchase Order shall be submitted to the Office of the Chief Geologist at the Nile Basin Geological Survey Authority headquarters in Al-Muraj, Sudan Khartoum, no later than the dates specified in the project schedule (Annex B). Acceptance of deliverables shall be confirmed in writing by the designated technical reviewer within 15 working days of submission. Failure to provide written acceptance or rejection within this period shall constitute deemed acceptance.
