This Purchase Order is issued by AlpenGeo Infrastructure AG (hereinafter referred to as the "Purchaser") to formally engage the services of Dr. Elena Marchetti, a licensed and certified Geologist (hereinafter referred to as the "Geologist" or "Service Provider"), for the execution of comprehensive geological survey, site assessment, and environmental risk evaluation services to be performed within the canton of Zurich, Switzerland. The Geologist shall provide all professional expertise, fieldwork, laboratory coordination, and reporting in strict compliance with Swiss federal and cantonal regulations governing geological investigations, including but not limited to the Swiss Federal Act on the Protection of the Environment (USG) and the cantonal building and planning directives of the City of Zurich.

All payments under this Purchase Order shall be made in Swiss Francs (CHF) via bank transfer to the account of the Geologist as specified in Section 1. Payment shall be due within thirty (30) calendar days from the date of invoice issuance. The Purchaser reserves the right to withhold up to ten percent (10%) of each milestone payment as a retention until final acceptance of the complete geological report by the Zurich Building Authority. Late payments shall accrue interest at the statutory rate prescribed under Article 104 of the Swiss Code of Obligations (OR).
- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Swiss Confederation, with the canton of Zurich, Switzerland, as the exclusive place of jurisdiction. Any disputes shall be submitted to the competent courts of Zurich or, at the mutual agreement of both parties, to the Swiss Arbitration Centre (SAC) in Zurich.
- Professional Liability: The Geologist warrants that all geological assessments, interpretations, and recommendations provided under this Purchase Order shall be performed with the standard of care expected of a licensed geologist practising in Switzerland. The Geologist shall carry professional indemnity insurance with a minimum coverage of CHF 5,000,000, valid throughout the duration of the engagement.
- Compliance with Swiss Regulations: The Geologist shall ensure full compliance with all applicable Swiss federal and cantonal regulations, including the Federal Act on the Protection of the Environment (USG), the Federal Act on the Use of Water (WVG), the cantonal geology and mining regulations of the Canton of Zurich, and all relevant building permits issued by the City of Zurich.
- Intellectual Property: All geological data, maps, core samples, borehole logs, and reports produced under this Purchase Order shall become the exclusive property of AlpenGeo Infrastructure AG upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written consent.
- Confidentiality: The Geologist shall treat all site-specific data, client information, and project details as strictly confidential in accordance with Swiss data protection law (DSG/FADP). This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, severe weather conditions affecting fieldwork in the Zurich region, or government-mandated work stoppages.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Geologist shall be compensated for all work completed and materials procured up to the date of termination, as documented in a final progress report.
- Health, Safety & Environment: The Geologist shall adhere to all Swiss occupational health and safety standards (ArG) and environmental protection requirements during all fieldwork activities conducted in Zurich and its surrounding areas.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Geologist for geological services in Zurich, Switzerland.
