This Purchase Order is issued by Marmara Infrastructure Development A.S. to engage the services of a qualified Geologist for the purpose of conducting a comprehensive geological survey, subsurface investigation, and site stability assessment for a proposed commercial and residential development project located in the Sarıyer district of Turkey Istanbul. The Geologist shall perform all fieldwork, laboratory coordination, and reporting activities in strict accordance with the Turkish Building Law (Law No. 3194), the Turkish Seismic Zone Map regulations, and the Istanbul Metropolitan Municipality (İBB) urban planning guidelines.
The scope of work assigned to the Geologist under this Purchase Order includes, but is not limited to, the following activities:
- Conducting a detailed geological and geotechnical reconnaissance of the 12,500 m² plot in Turkey Istanbul, including topographic mapping and identification of surface geological features.
- Performing a minimum of six (6) borehole drillings to a depth of 30 metres each, with continuous core sampling, to determine soil stratification, groundwater levels, and rock quality designation (RQD).
- Executing Standard Penetration Tests (SPT), Cone Penetration Tests (CPT), and shear wave velocity measurements at designated intervals within each borehole.
- Carrying out laboratory analyses of collected soil and rock samples, including grain size distribution, Atterberg limits, unconfined compressive strength, and triaxial compression tests, at an accredited laboratory in Turkey Istanbul.
- Assessing the seismic risk profile of the site in accordance with the 2018 Turkish Building Earthquake Regulation (TBDY 2018) and the Istanbul-specific seismic hazard parameters.
- Preparing a full geological and geotechnical report in both Turkish and English, including recommendations for foundation design, slope stability, and groundwater management for the construction team.
- Providing one (1) on-site technical presentation to the project engineering team and the Istanbul Metropolitan Municipality building permit office upon completion of the survey.

- This Purchase Order constitutes a binding agreement between Marmara Infrastructure Development A.S. and the named Geologist upon countersignature. All services shall be performed exclusively within the project site located in Turkey Istanbul, Sarıyer District, unless otherwise agreed in writing.
- The Geologist must hold a valid professional licence issued by the Istanbul Chamber of Engineers (İMO) and must maintain professional liability insurance with a minimum coverage of TRY 5,000,000 for the duration of the contract.
- All fieldwork must comply with the Occupational Health and Safety Law (Law No. 6331) of the Republic of Turkey. The Geologist is responsible for providing all personal protective equipment and ensuring the safety of any subcontracted drilling crews.
- Payment shall be made in three (3) instalments: 30% upon commencement of fieldwork, 40% upon completion of all borehole drilling and in-situ testing, and 30% upon delivery and acceptance of the final bilingual report. Each instalment is due within thirty (30) calendar days of the corresponding invoice.
- The Geologist shall submit weekly progress reports to the project manager at Marmara Infrastructure Development A.S. and shall notify the issuing company within twenty-four (24) hours of any significant geological anomaly, including but not limited to the discovery of contaminated soil, unexpected bedrock conditions, or elevated groundwater levels.
- All data, core samples, and reports generated under this Purchase Order shall remain the exclusive property of Marmara Infrastructure Development A.S. The Geologist shall not disclose, publish, or share any project-specific information with third parties without prior written consent.
- In the event of force majeure, including but not limited to seismic events, severe weather conditions affecting fieldwork in Turkey Istanbul, or government-imposed restrictions, the project timeline shall be extended proportionally, and neither party shall be liable for delays caused by such events.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Istanbul, Turkey, in accordance with the rules of the Istanbul Arbitration Centre (ISTAC). The governing law shall be the laws of the Republic of Turkey.
- This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to countersign within this period shall render this document null and void.
