This Purchase Order is issued by Meridian Infrastructure & Development Ltd. to procure the professional services of a qualified Geologist for the Erdington Industrial Estate development project located in Birmingham, United Kingdom. The Geologist shall be responsible for all subsurface investigation, geological mapping, ground condition assessment, and associated reporting required for the planned construction of a 12-storey mixed-use commercial and residential building. The scope of work is governed by the conditions set forth in this Purchase Order and the attached Statement of Work (SOW-2025-019).

- This Purchase Order constitutes a binding agreement between Meridian Infrastructure & Development Ltd. (the "Purchaser") and Stratigraphic Consulting & Geoscience Partners LLP (the "Geologist / Contractor") upon acceptance and signature by both parties.
- All geological services shall be performed in accordance with the British Standards BS EN ISO 14688 (Geotechnical investigation and testing), BS EN ISO 14689 (Geotechnical design), and the relevant guidance issued by the Institution of Civil Engineers (ICE) and the Geological Society of London.
- The Geologist shall maintain full professional indemnity insurance of no less than £5,000,000 per claim throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- All fieldwork, borehole drilling, and sampling activities shall be conducted at the designated site in Erdington, Birmingham, United Kingdom, and shall comply with the Health and Safety at Work etc. Act 1974, the Management of Health and Safety at Work Regulations 1999, and all applicable Birmingham City Council environmental permits.
- The Geologist shall submit a detailed programme of works within five (5) working days of accepting this Purchase Order. All deliverables, including interim and final reports, shall be submitted in both hard copy (three copies) and electronic PDF format to the Purchaser's project manager.
- Payment shall be made within thirty (30) calendar days of receipt of a valid VAT invoice. Late payment shall attract interest at the rate prescribed under the Late Payment of Commercial Debts (Interest) Act 1998.
- The Geologist warrants that all findings, interpretations, and recommendations contained in the deliverables shall be accurate, complete, and prepared with the skill and care reasonably expected of a competent and registered Geologist practising in the United Kingdom.
- Any variation to the scope of work described in this Purchase Order must be agreed in writing by both parties prior to execution. No additional charges shall be incurred without prior written authorisation from the Purchaser.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- The Geologist shall not subcontract any portion of the geological investigation or reporting without the prior written consent of the Purchaser. Any approved subcontractor shall be bound by the same terms and conditions set out in this Purchase Order.
- All data, reports, and intellectual property generated under this Purchase Order shall become the sole property of Meridian Infrastructure & Development Ltd. upon full payment. The Geologist retains the right to reference the project in professional portfolios with prior written approval.
By signing below, both parties confirm that they have read, understood, and agree to be bound by the terms, conditions, and scope of work set out in this Purchase Order. This document, together with the attached Statement of Work SOW-2025-019, forms the complete agreement between the parties for the geological services described herein.
