1. Description of Purchase Order and Scope of Geologist ServicesThis Purchase Order is issued by Thames Basin Infrastructure Ltd. to Stratigraphic Consulting Group LLP for the engagement of a qualified Geologist to conduct comprehensive geological surveying, subsurface investigation, and risk assessment services in and around the United Kingdom London metropolitan area. The Geologist shall be responsible for evaluating soil composition, identifying potential ground instability risks, mapping stratigraphic layers, and providing expert geological advisory reports in support of the proposed Thames Basin expansion project located in the London Borough of Tower Hamlets and the City of London.
This Purchase Order constitutes a binding agreement between the parties for the specific services outlined herein. All work shall be performed in accordance with the professional standards set by the Geological Society of London and the Institution of Civil Engineers, and shall comply with all applicable regulations within the United Kingdom London regulatory framework, including the Health and Safety at Work etc. Act 1974 and the Environmental Protection Act 1990.

- Acceptance: This Purchase Order shall be deemed accepted upon written confirmation by Stratigraphic Consulting Group LLP within five (5) business days of the date of issue. Failure to respond within this period shall constitute rejection of this Purchase Order.
- Geologist Qualifications: The Geologist assigned to this engagement must hold a minimum of a Master's degree in Geology or a related earth science discipline, be a member of the Geological Society of London, and possess a minimum of ten (10) years of professional experience in urban geological investigations within the United Kingdom London region.
- Commencement and Completion: All services under this Purchase Order shall commence no later than 1st July 2025 and shall be completed in their entirety by 30th September 2025, unless otherwise agreed in writing by both parties.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices shall reference this Purchase Order number (PO-UKL-2025-004782). Payment shall be made via BACS transfer to the bank account designated by the supplier.
- Insurance and Indemnity: The supplier shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the duration of the engagement. The Geologist shall be covered under the supplier's employer's liability insurance.
- Intellectual Property: All reports, data, core samples, and findings produced by the Geologist under this Purchase Order shall become the sole property of Thames Basin Infrastructure Ltd. upon full payment. The supplier shall not reuse or disclose any project-specific data to third parties without prior written consent.
- Health and Safety: The Geologist and all associated personnel shall comply with all health and safety regulations applicable in the United Kingdom London jurisdiction, including but not limited to the Management of Health and Safety at Work Regulations 1999 and the Construction (Design and Management) Regulations 2015.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the supplier shall be compensated for all services rendered up to the date of termination, plus reasonable costs incurred in reliance on this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all information exchanged in connection with this Purchase Order. The Geologist shall not disclose subsurface data, site locations, or project details to any unauthorised third party.
All deliverables, including but not limited to geological reports, borehole logs, core sample analyses, and risk assessments, shall be submitted in both digital (PDF and editable Word format) and hard copy (three copies) to the Purchasing Party's offices at 42 Cannon Street, London EC4N 6JJ. The Geologist shall provide interim progress reports on a fortnightly basis and a comprehensive final report upon completion of all fieldwork and laboratory analysis. All reports shall be prepared in accordance with the British Standard BS 5930:2015 (Code of practice for ground investigation) and shall be suitable for submission to the London Planning Authority as part of the planning application for the Thames Basin expansion project.
