This Purchase Order is issued by Midwest Infrastructure Development Corp. (hereinafter referred to as "the Buyer") to engage the services of Dr. Elena M. Vasquez, a licensed Professional Geologist (hereinafter referred to as "the Geologist" or "the Vendor"), for the purpose of conducting comprehensive geological site assessments, subsurface investigations, and environmental geotechnical evaluations in support of the Buyer's proposed mixed-use development project located at 2300 South Wacker Drive, Chicago, Illinois. All services described in this Purchase Order shall be performed within the jurisdiction of United States Chicago, in full compliance with the Illinois Department of Natural Resources regulations, the City of Chicago Department of Buildings codes, and all applicable federal environmental statutes including the Clean Water Act and the Resource Conservation and Recovery Act.

The Geologist shall provide the following professional geological services as outlined in this Purchase Order. The Geologist is expected to demonstrate expertise in urban geology, hydrogeology, and geotechnical engineering as it pertains to the dense urban environment of United States Chicago. All fieldwork, laboratory analysis, and reporting shall be conducted in accordance with the American Society of Civil Engineers (ASCE) standards and the Illinois State Board of Professional Geologists practice guidelines.

2 Subsurface Borehole Drilling & Core Sampling — The Geologist shall supervise and coordinate the drilling of no fewer than (14) boreholes to a minimum depth of 150 feet below ground surface across the project site in United States Chicago. The Geologist shall collect, log, and analyze core samples for lithological classification, groundwater assessment, and contaminant screening. 14 Borehole $4,200.00 $58,800.00
3 Geotechnical Laboratory Testing & Analysis — The Geologist shall arrange and oversee laboratory testing of all collected soil and rock samples, including Standard Penetration Tests (SPT), Atterberg Limits, Unconfined Compressive Strength tests, and X-ray Fluorescence (XRF) mineralogical analysis. All testing shall be performed at an AASHTO-accredited laboratory in the United States Chicago area. 1 Lump Sum $18,750.00 $18,750.00
4 Hydrogeological Assessment & Groundwater Monitoring — The Geologist shall install (6) temporary monitoring wells, conduct a 30-day groundwater level monitoring program, and prepare a hydrogeological report addressing the interaction between the proposed foundation system and the local water table in United States Chicago. 1 Lump Sum $9,600.00 $9,600.00
5 Final Geological & Geotechnical Engineering Report — The Geologist shall compile all field data, laboratory results, and analytical findings into a comprehensive final report suitable for submission to the City of Chicago Department of Buildings and the Illinois Environmental Protection Agency. The report shall include foundation recommendations, slope stability analysis, and any remediation requirements. 1 Lump Sum $15,000.00 $15,000.00
6 On-Site Geologist Supervision & Daily Field Logs — The Geologist (or a qualified Geologist under the Geologist's direct supervision) shall be present on-site for a minimum of 22 working days during the active drilling and sampling phase in United States Chicago, maintaining daily field logs and photographic records. 22 Day $850.00 $18,700.00
7 Regulatory Permitting Support & Agency Meetings — The Geologist shall attend up to (4) meetings with the City of Chicago Department of Water Management, the Illinois EPA, and the U.S. Army Corps of Engineers (Chicago District) to present geological findings and support the Buyer's permitting applications. 4 Meeting $1,200.00 $4,800.00

  1. Payment Terms: Payment shall be made Net 30 days from the date of invoice. The Buyer shall issue a 30% advance payment upon execution of this Purchase Order, 40% upon completion of all fieldwork and borehole drilling in United States Chicago, and the remaining 30% upon delivery and acceptance of the Final Geological Report.
  2. Performance Period: The Geologist shall commence all services no later than July 1, 2025, and shall complete all deliverables no later than October 15, 2025. Any extension of the performance period must be approved in writing by the Buyer's Project Director.
  3. Professional Standards: The Geologist warrants that all services rendered under this Purchase Order shall be performed in a professional and workmanlike manner, consistent with the standards of practice of the Illinois State Board of Professional Geologists and the National Association of Exploration Geophysicists. The Geologist shall maintain all required professional licenses and certifications throughout the duration of this engagement.
  4. Insurance: The Geologist shall maintain, at a minimum, Commercial General Liability insurance of $2,000,000 per occurrence, Professional Liability (Errors & Omissions) insurance of $1,000,000, and Workers' Compensation insurance as required by the State of Illinois. Certificates of insurance naming the Buyer as an additional insured shall be provided prior to the start date.
  5. Compliance with Local Regulations: All field activities conducted in United States Chicago shall comply with the Chicago Municipal Code, including but not limited to Chapter 13-12 (Soil and Excavation), Chapter 13-14 (Grading and Excavation), and all applicable noise and traffic ordinances. The Geologist is responsible for obtaining any necessary City of Chicago fieldwork permits.
  6. Intellectual Property: All reports, data, core samples, and deliverables produced under this Purchase Order shall become the sole property of the Buyer upon full payment. The Geologist retains the right to use anonymized data for academic publication with prior written consent from the Buyer.
  7. Termination: Either party may terminate this Purchase Order with 15 days' written notice. In the event of termination, the Buyer shall pay the Geologist for all services satisfactorily rendered up to the date of termination, plus reasonable demobilization costs.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, with venue in the Circuit Court of Cook County, United States Chicago.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith mediation in United States Chicago. If mediation is unsuccessful, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association.

By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order for the engagement of the Geologist in United States Chicago.
