This Purchase Order is issued by Gulf Coast Energy Resources, LLC (hereinafter referred to as "the Buyer") to engage the services of Dr. Margaret L. Whitfield, a licensed Professional Geologist (hereinafter referred to as "the Geologist" or "the Vendor"), to perform comprehensive geological assessment, subsurface characterization, and environmental geology consulting services for the Buyer's proposed industrial development project located in the Houston metropolitan area, United States. The Geologist shall provide all professional geological expertise, field investigations, laboratory coordination, and technical reporting as specified in this Purchase Order and the attached Statement of Work (SOW-2025-114).

The Geologist shall perform the following services within the Houston, United States project site and surrounding areas:

  • Conduct a detailed geological site investigation including soil and rock sampling at a minimum of 24 borehole locations across the 180-acre parcel in Harris County, Houston, United States.
  • Perform geophysical surveys (seismic refraction, electrical resistivity tomography, and ground-penetrating radar) to identify subsurface stratigraphy, fault structures, and potential karst features within the Gulf Coast sedimentary basin.
  • Prepare a comprehensive geological map and cross-sectional profiles of the project area, documenting the presence of the Beaumont Clay, Yegua Formation, and underlying Cretaceous limestone units characteristic of the Houston region.
  • Assess geotechnical risks including liquefaction potential, differential settlement, and groundwater contamination pathways relevant to the Houston, United States aquifer system (Edwards Aquifer and Chicot Formation).
  • Deliver a final Geological Assessment Report (GAR) in accordance with Texas Department of Licensing and Regulation (TDLR) standards and the American Society of Civil Engineers (ASCE) geotechnical reporting guidelines.
  • Provide two (2) on-site technical review meetings with the Buyer's engineering team at the Houston, United States project office.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States, and applicable federal regulations. Any disputes arising from this Purchase Order shall be resolved in the courts of Harris County, Houston, United States.
  2. Professional Standards: The Geologist warrants that all services shall be performed in a professional and workmanlike manner consistent with the standards of practice for a licensed Professional Geologist in the State of Texas. The Geologist shall maintain all required licenses, including the Texas P.G. license, in good standing throughout the duration of this Purchase Order.
  3. Insurance: Prior to commencing fieldwork in Houston, United States, the Geologist shall provide certificates of insurance evidencing General Liability (minimum $2,000,000 per occurrence), Professional Liability / Errors & Omissions (minimum $1,000,000), and Workers' Compensation coverage as required by Texas law.
  4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of fieldwork and geophysical surveys, and 30% upon delivery and acceptance of the final Geological Assessment Report. All invoices are due Net 30 days from the date of invoice.
  5. Intellectual Property: All geological data, maps, reports, and deliverables produced under this Purchase Order shall become the sole property of Gulf Coast Energy Resources, LLC upon full payment. The Geologist retains the right to use anonymized data for academic publication with prior written consent from the Buyer.
  6. Change Orders: Any modifications to the scope of work, timeline, or pricing must be documented in a written Change Order signed by both parties. No additional work shall be performed under this Purchase Order without prior written authorization.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination.
  8. Compliance: The Geologist shall comply with all applicable federal, state, and local regulations in the Houston, United States area, including but not limited to EPA environmental standards, Texas Railroad Commission rules, and Harris County land-disturbance ordinances.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order. This Purchase Order constitutes a binding agreement between Gulf Coast Energy Resources, LLC and Dr. Margaret L. Whitfield, Geologist, for the performance of geological consulting services in Houston, United States.
