This Purchase Order is issued by Shanghai Meridian Digital Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Creative Pixel Studio (Shanghai) Co., Ltd. (hereinafter referred to as the "Seller") for the engagement of a senior Graphic Designer to deliver a comprehensive suite of visual design services. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the procurement of the Graphic Designer's professional services within the operational boundaries of China Shanghai. The Graphic Designer shall be assigned exclusively to the Buyer's Q3 2025 brand revitalization campaign and shall work under the direct supervision of the Buyer's Creative Lead at the Buyer's Pudong office in China Shanghai.

Payment for this Purchase Order shall be made in three (3) installments via bank transfer to the Seller's designated corporate account in China Shanghai. The first installment of 40% (CNY 68,984.80) is due upon execution of this Purchase Order. The second installment of 40% (CNY 68,984.80) is due upon Buyer's written acceptance of all mid-project deliverables. The final installment of 20% (CNY 34,492.40) is due within fifteen (15) business days following final project completion and delivery of all source files. Late payments shall accrue interest at a rate of 0.05% per calendar day in accordance with the Civil Code of the People's Republic of China.
All deliverables produced by the Graphic Designer shall be submitted in industry-standard formats (AI, PSD, PDF, PNG, MP4 as applicable) to the Buyer's designated project manager via the Buyer's internal asset management platform. The Buyer shall have five (5) business days to review and either accept or request revisions for each milestone. A maximum of three (3) revision rounds per deliverable is included in the scope of this Purchase Order. Additional revisions beyond the included rounds shall be billed at the hourly rate specified in Line Item 04. Final acceptance shall be confirmed in writing by the Buyer's Creative Lead, Ms. Chen Yating, based at the China Shanghai headquarters.
- 5.1 This Purchase Order is governed by and shall be construed in accordance with the laws of the People's Republic of China, with specific reference to commercial regulations applicable in China Shanghai.
- 5.2 The Graphic Designer engaged under this Purchase Order shall be a full-time employee or contracted specialist of the Seller and shall not be reassigned to other clients without the prior written consent of the Buyer.
- 5.3 All intellectual property rights in the final deliverables shall transfer to the Buyer upon full payment. The Seller retains the right to display the work in its portfolio unless otherwise restricted by a separate Non-Disclosure Agreement.
- 5.4 The Seller warrants that the Graphic Designer possesses a minimum of seven (7) years of professional experience in brand and digital design and holds current proficiency in Adobe Creative Suite, Figma, and After Effects.
- 5.5 Any disputes arising from this Purchase Order shall be resolved through arbitration administered by the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai.
- 5.6 The Seller shall comply with all applicable data protection and labor regulations in China Shanghai, including the Personal Information Protection Law of the PRC, when handling any client data provided to the Graphic Designer.
- 5.7 This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. No oral modifications shall be valid.
- 5.8 Force majeure events, including but not limited to government-mandated closures in China Shanghai, shall suspend performance obligations for the duration of the event without penalty to either party.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Graphic Designer services in China Shanghai.
