This Purchase Order is issued by Kinshasa Media & Communications Ltd. to formally engage the services of a qualified Graphic Designer operating within the city of Kinshasa, DR Congo. The purpose of this procurement is to commission the design, development, and delivery of a comprehensive visual identity package for the buyer's upcoming corporate rebranding initiative. The Graphic Designer shall be responsible for creating all visual assets in accordance with the creative brief attached as Annex A to this Purchase Order.

The scope of work for the Graphic Designer includes, but is not limited to: the design of a new corporate logo and brand mark; the development of a full brand guideline document (minimum 40 pages); the creation of stationery templates (business cards, letterheads, envelopes, and presentation folders); the design of a 12-page corporate brochure; the production of social media templates for Facebook, Instagram, and LinkedIn; and the design of two (2) large-format outdoor advertising banners (3m x 6m) for placement along Avenue du 30 Juin in Kinshasa, DR Congo.

Payment for this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the account of Studio Visuel Kongo SARL, held at Equity Bank DR Congo, Branch Gombe, Kinshasa. The payment schedule is structured as follows: thirty percent (30%) upon signing and acceptance of this Purchase Order; forty percent (40%) upon completion of Milestone M2; and the remaining thirty percent (30%) upon final acceptance of all deliverables at Milestone M5. All payments are subject to the buyer's standard invoice verification process. Late payments shall incur an interest rate of 1.5% per month, in accordance with commercial practice in DR Congo Kinshasa.

This Purchase Order is governed by and shall be interpreted in accordance with the commercial laws of the Democratic Republic of the Congo, particularly the Code de Commerce applicable in the city of Kinshasa. All disputes arising from or in connection with this Purchase Order shall be resolved through amicable negotiation between the parties. Should negotiation fail within thirty (30) days, the matter shall be submitted to the competent commercial court of Kinshasa, DR Congo.

The Graphic Designer warrants that all work delivered under this Purchase Order shall be original, free from any intellectual property infringement, and created exclusively for the buyer. All source files (Adobe Illustrator, Photoshop, InDesign) shall be transferred to the buyer upon final payment. The Graphic Designer retains the right to display completed work in a professional portfolio, subject to the buyer's written consent.

The Graphic Designer shall comply with all applicable labor, tax, and regulatory obligations in DR Congo Kinshasa, including but not limited to registration with the Direction Générale des Impôts (DGI) and payment of applicable withholding taxes. The buyer reserves the right to terminate this Purchase Order with fourteen (14) days written notice in the event of material breach, non-performance, or insolvency of the supplier.

All communications regarding this Purchase Order shall be conducted in French or English. The working language for all design deliverables shall be bilingual (French and English) unless otherwise specified in the creative brief. The Graphic Designer shall conduct all on-site consultations at the buyer's premises in Gombe, Kinshasa, DR Congo, during standard business hours (08:00 to 17:00, Monday through Friday).

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Graphic Designer in DR Congo Kinshasa. This document constitutes a binding commercial agreement effective from the date of the last signature.
