This Purchase Order is issued by Provence Digital Solutions SARL (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional Graphic Designer services from Atelier Lumière Créative (hereinafter referred to as the "Service Provider"). All services described herein shall be performed, delivered, and executed within the city of France Marseille, specifically at the Buyer's premises located at 42 Rue de la République, 13001 Marseille, or at such other location within France Marseille as mutually agreed upon in writing by both parties. This Purchase Order constitutes a binding commercial document under French law and governs all terms, conditions, deliverables, and payment obligations related to the engagement of the Graphic Designer.
The Service Provider shall assign a qualified and experienced Graphic Designer to carry out the following scope of work for the Buyer. The Graphic Designer shall possess a minimum of five (5) years of professional experience in brand identity, digital design, print production, and motion graphics. All work shall be conducted in compliance with French intellectual property law and applicable regulations in France Marseille.

The Graphic Designer shall adhere to the following project timeline. All deliverables shall be submitted in the agreed file formats (AI, PSD, PDF, MP4, SVG) and shall be delivered electronically via the Buyer's secure project management platform. Physical print proofs, where applicable, shall be couriered to the Buyer's address in France Marseille.

Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule. All payments shall be processed via bank transfer (virement bancaire) to the Service Provider's account. Invoices shall reference this Purchase Order number (PO-FR-2025-04872) and shall be issued in compliance with French invoicing regulations (Article 286 of the French General Tax Code).
- 30% advance payment (EUR 5,040.00) due upon signature and acceptance of this Purchase Order.
- 40% progress payment (EUR 6,720.00) due upon approval of Milestone 2 (finalized brand identity).
- 30% final payment (EUR 5,040.00) due within fifteen (15) calendar days of completion of Milestone 5 and receipt of the final invoice.
Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Commercial Code. The Service Provider reserves the right to suspend work on the Graphic Designer project in the event of non-payment exceeding thirty (30) days from the due date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Marseille (Tribunal de Commerce de Marseille), located in France Marseille.
- Intellectual Property: Upon full and final payment, all intellectual property rights in the deliverables created by the Graphic Designer shall be irrevocably assigned to the Buyer. The Service Provider retains the right to display the work in its professional portfolio, subject to the Buyer's prior written consent for confidential projects.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement in France Marseille. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Revisions: The scope of work includes the revision cycles specified in Section 2. Any additional revisions beyond the agreed number shall be billed at the Graphic Designer's standard hourly rate of EUR 85.00 per hour, subject to prior written approval by the Buyer.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the region of France Marseille.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination. The Graphic Designer shall deliver all work-in-progress files to the Buyer.
- Compliance: The Service Provider warrants that the Graphic Designer engaged under this Purchase Order shall comply with all applicable French labor laws, social security obligations, and professional standards. The Service Provider shall maintain adequate professional liability insurance (assurance responsabilité civile professionnelle) for the duration of the engagement.
- Acceptance: The Buyer shall have ten (10) business days from the date of delivery of each milestone to review and accept or reject the deliverables. Failure to respond within this period shall constitute deemed acceptance.
By signing below, the Buyer authorizes the Service Provider to commence the Graphic Designer engagement as described in this Purchase Order. The Service Provider confirms its acceptance of all terms, conditions, and obligations set forth herein. Both parties acknowledge that this document constitutes the entire agreement between them with respect to the subject matter and supersedes all prior negotiations, representations, and agreements relating to the Graphic Designer services in France Marseille.
