This Purchase Order is issued by Meridian Technologies Pvt. Ltd., a registered corporate entity headquartered in India New Delhi, to engage the services of a qualified Graphic Designer for the development of comprehensive brand identity materials, digital marketing creatives, and print collateral. The Graphic Designer shall deliver all work in accordance with the specifications outlined in this document and the attached creative brief. All deliverables are to be produced and submitted from the vendor's operational base located in India New Delhi, ensuring proximity to the client's headquarters for in-person review sessions as required.

• Advance Payment: 40% of the total Purchase Order value (INR 3,57,776) shall be disbursed within 7 working days of the signed Purchase Order acceptance, via NEFT/RTGS to the Graphic Designer's designated bank account in India New Delhi.
• Milestone Payment: 40% (INR 3,57,776) upon client approval of all mid-project deliverables, subject to a written sign-off from the Marketing Director.
• Final Payment: 20% (INR 1,78,888) within 15 working days of final delivery and acceptance of all source files, print-ready PDFs, and brand asset libraries.
• All payments are subject to the Graphic Designer submitting a valid GST invoice compliant with the Central Board of Indirect Taxes and Customs (CBIC) regulations applicable in India New Delhi.
• Late payments shall attract interest at 12% per annum as per the Indian Contract Act, 1872.

• The Graphic Designer shall adhere to the project timeline as specified in the attached Gantt chart. All deliverables are to be submitted via the client's project management portal (Asana) with a minimum of 48 hours' notice before the due date.
• Final files must be delivered in industry-standard formats: Adobe Illustrator (.ai), Photoshop (.psd), Figma, and print-ready PDF/X-4. All source files must be organized in a structured folder hierarchy.
• The client reserves the right to request up to three (3) rounds of revisions per deliverable at no additional cost. Revisions beyond the stipulated rounds shall be billed at INR 2,500 per hour.
• Acceptance of deliverables shall be confirmed in writing (email suffices) within 10 working days of submission. Failure to respond within this window shall constitute deemed acceptance.

• Upon full and final payment, all intellectual property rights, copyrights, and ownership of the final deliverables created by the Graphic Designer shall vest exclusively with Meridian Technologies Pvt. Ltd. The Graphic Designer retains the right to display the work in a professional portfolio, subject to a 90-day embargo period post-launch.
• The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased product details encountered during the engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
• All work shall be original and free from any third-party intellectual property infringement. The Graphic Designer shall indemnify the client against any claims of copyright or trademark violation arising from the delivered work.

• This Purchase Order is governed by and shall be construed in accordance with the laws of India, with jurisdiction vested in the competent courts of India New Delhi.
• The Graphic Designer shall not subcontract any portion of the work without prior written consent from the client's procurement department.
• Either party may terminate this Purchase Order with 15 days' written notice. In the event of termination, the client shall pay for all work completed and accepted up to the date of termination.
• Force majeure events, including but not limited to natural disasters, government-mandated lockdowns, or infrastructure failures in India New Delhi, shall extend deadlines proportionally.
• This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
