This Purchase Order is issued by Al-Rafidain Creative Solutions Co. Ltd. (hereinafter referred to as "the Purchaser") to engage the services of Studio Al-Nahda Design & Creative Services (hereinafter referred to as "the Graphic Designer") for the provision of comprehensive visual design and branding services. The Graphic Designer shall deliver all work in accordance with the specifications outlined below, and all deliverables shall be produced and submitted within the jurisdiction of Iraq Baghdad, in compliance with local commercial and intellectual property regulations.

The scope of work assigned to the Graphic Designer includes, but is not limited to, the following deliverables:

The Graphic Designer shall adhere to the following timeline. All milestones are subject to review and written approval by the Purchaser's Project Manager in Baghdad:

• Milestone 1 (by 30 June 2025): Submission of initial brand identity concepts (minimum three distinct directions) for the Purchaser's review and selection.
• Milestone 2 (by 15 July 2025): Delivery of final brand guidelines document, all brochure designs in print-ready format (CMYK, 300 DPI, with 3mm bleed), and social media template files in editable source format.
• Milestone 3 (by 1 August 2025): Completion of all exhibition booth graphics and large-format banner artwork, delivered as vector files (AI/EPS) and high-resolution raster files (TIFF, 150 DPI at final size).
• Milestone 4 (by 15 August 2025): Completion of the two-month retainer period, including a final summary report of all ad-hoc tasks completed.

• 4.1 This Purchase Order constitutes a binding agreement between the Purchaser and the Graphic Designer upon signature by both parties. All work shall be performed in Iraq Baghdad, and the Graphic Designer shall maintain a physical or virtual workspace accessible to the Purchaser during standard business hours (Saturday to Thursday, 9:00 AM to 5:00 PM, Baghdad time).
• 4.2 The Graphic Designer warrants that all deliverables shall be original works free from any third-party intellectual property claims. Any use of stock imagery, fonts, or third-party assets must be properly licensed, and proof of such licensing shall be provided to the Purchaser upon request.
• 4.3 The Purchaser reserves the right to request up to three (3) rounds of revisions per deliverable at no additional cost. Revisions beyond the third round shall be billed at the Graphic Designer's standard hourly rate of IQD 75,000 per hour.
• 4.4 Payment shall be made in Iraqi Dinar (IQD) via bank transfer to the account specified in Section 1. Invoices shall be submitted within five (5) business days of milestone completion. Payment is due within thirty (30) calendar days of invoice receipt.
• 4.5 The Graphic Designer shall maintain full confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed by the Purchaser during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
• 4.6 In the event of force majeure, including but not limited to political instability, natural disasters, or government-mandated closures in Iraq Baghdad, either party may suspend performance without penalty, provided written notice is given within 48 hours of the event.
• 4.7 All disputes arising from this Purchase Order shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be referred to the competent commercial courts in Baghdad, Iraq, in accordance with the laws of the Republic of Iraq.
• 4.8 The Graphic Designer shall carry valid professional liability insurance with a minimum coverage of IQD 50,000,000 for the duration of this contract and shall provide a certificate of insurance upon request.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Graphic Designer confirms acceptance of the scope of work, timeline, and compensation outlined herein. The Purchaser confirms authorization of the expenditure and commitment to timely payment in accordance with the terms stated.
