Scope of Services — Graphic Designer EngagementThis Purchase Order is issued by Al Noor Creative Solutions LLC to formally engage the services of a qualified Graphic Designer through PixelCraft Design Studio FZ-LLC for the execution of comprehensive visual design projects. The Graphic Designer shall be responsible for the creation, development, and delivery of all visual assets required for the buyer's upcoming corporate rebranding campaign, marketing collateral, and digital media content. All design work shall be performed in accordance with the professional standards and regulatory requirements applicable within the United Arab Emirates Abu Dhabi jurisdiction, including compliance with the Abu Dhabi Media Office guidelines and the UAE Federal Decree-Law No. 31 of 2021 on the Protection of Personal Data.

1. Payment Terms: Payment shall be made in three equal installments. The first installment (33.33%) is due upon acceptance of this Purchase Order. The second installment (33.33%) is due upon delivery of the brand identity package. The final installment (33.34%) is due upon completion of all deliverables. All payments shall be processed via bank transfer to the seller's account in the United Arab Emirates Abu Dhabi. Payment is due within 14 calendar days of invoice receipt.
2. Delivery Schedule: The Graphic Designer shall adhere to the project timeline outlined in the attached Statement of Work. All deliverables must be submitted in print-ready and digital formats. The final project deadline is 30 November 2025. Any delays attributable to the seller shall incur a penalty of 1% of the total Purchase Order value per day of delay, capped at 10%.
3. Intellectual Property: Upon full and final payment, all intellectual property rights to the original Graphic Designer work, including but not limited to logos, illustrations, and design files, shall be transferred to the buyer. The seller retains the right to display the work in their portfolio with prior written consent from the buyer.
4. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates. The parties agree to attempt mediation through the Abu Dhabi Commercial Conciliation and Arbitration Center (ADCCAC) before initiating litigation.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of this engagement. The Graphic Designer shall not disclose any client-specific design concepts, brand strategies, or internal communications to third parties without written authorization.
6. Cancellation: Either party may cancel this Purchase Order with 30 days' written notice. In the event of cancellation by the buyer after work has commenced, the buyer shall be liable for all work completed up to the date of cancellation, plus a 10% administrative fee.
7. Compliance: All services rendered under this Purchase Order shall comply with the regulations of the Abu Dhabi Department of Economic Development, the UAE Federal Tax Authority, and applicable labor and commercial laws of the United Arab Emirates Abu Dhabi emirate.
