Buyer (Purchasing Entity): Tashkent Digital Solutions LLP, a limited liability partnership duly registered under the laws of the Republic of Uzbekistan, with its principal office located at 42 Amir Temur Avenue, Tashkent, 100000, Uzbekistan Tashkent. Hereinafter referred to as the "Buyer."

Supplier (Service Provider): Creative Pixel Studio, a sole proprietorship registered in the Republic of Uzbekistan, operating from 18 Navoi Street, Yunusobod District, Tashkent, 100084, Uzbekistan Tashkent. Hereinafter referred to as the "Supplier."

This Purchase Order is issued by the Buyer to formally request and authorize the procurement of professional Graphic Designer services from the Supplier. All terms, conditions, deliverables, and payment obligations outlined in this Purchase Order shall govern the engagement between the Buyer and the Supplier for the scope of work described herein.

The Buyer hereby issues this Purchase Order to engage a qualified Graphic Designer through the Supplier for the design and production of visual assets required for the Buyer's corporate branding, marketing campaigns, and digital media operations. The Graphic Designer shall be responsible for the following deliverables:

All prices are stated in Uzbek Som (UZS) and are inclusive of applicable Value Added Tax (VAT) at the current rate of 12% as per the Tax Code of the Republic of Uzbekistan. No additional charges shall apply unless explicitly authorized in writing by the Buyer.

All services under this Purchase Order shall be performed and delivered in Uzbekistan Tashkent. The Graphic Designer shall conduct all in-person meetings, presentations, and collaborative design sessions at the Buyer's office located at 42 Amir Temur Avenue, Tashkent, Uzbekistan Tashkent, unless otherwise agreed in writing. Digital deliverables shall be transmitted via the Buyer's designated project management platform no later than the deadlines specified in the project timeline. The Supplier warrants that the Graphic Designer assigned to this Purchase Order shall be physically present in Uzbekistan Tashkent for a minimum of three (3) working days per week during the active project phases.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• Advance Payment (30%): UZS 22,935,000 – due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
• Milestone Payment (40%): UZS 30,580,000 – due upon the Buyer's written approval of all project deliverables (Items 01 through 04).
• Retainer Payments (30%): UZS 27,000,000 – payable in six (6) equal monthly installments of UZS 4,500,000, due on the first business day of each month.

All payments shall be made via bank transfer to the Supplier's designated account at a licensed commercial bank operating in Uzbekistan Tashkent. The Supplier shall issue a valid fiscal invoice (scheck) in accordance with the requirements of the State Tax Committee of the Republic of Uzbekistan prior to each payment.

5.1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon the Buyer's signature and the Supplier's written acceptance.

5.2. The Graphic Designer engaged under this Purchase Order shall maintain full confidentiality of all proprietary information, trade secrets, and intellectual property belonging to the Buyer. A separate Non-Disclosure Agreement (NDA) shall be executed concurrently with this Purchase Order.

5.3. All intellectual property rights in the final deliverables shall vest exclusively in the Buyer upon full payment. The Graphic Designer retains the right to display the work in a professional portfolio, subject to the Buyer's prior written consent.

5.4. The Supplier shall provide a minimum of two (2) rounds of revisions for each deliverable at no additional cost. Revisions beyond the agreed number shall be billed at UZS 150,000 per hour of the Graphic Designer's time.

5.5. In the event of force majeure, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Uzbekistan Tashkent, either party may suspend performance without penalty, provided written notice is given within five (5) business days.

5.6. This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and applicable commercial legislation. Any disputes arising from this Purchase Order shall be resolved through the Tashkent Arbitration Court, Uzbekistan Tashkent.

5.7. The Supplier shall ensure that the Graphic Designer complies with all labor laws, social security obligations, and tax withholding requirements under the legislation of the Republic of Uzbekistan.

This Purchase Order is issued by the undersigned authorized representative of Tashkent Digital Solutions LLP and shall become effective upon countersignature by the Supplier. The Supplier acknowledges receipt of this Purchase Order and confirms its ability to fulfill all obligations described herein, including the provision of qualified Graphic Designer services in Uzbekistan Tashkent.
