The engagement of this Graphic Designer is governed by the terms and conditions set forth in this Purchase Order document. All deliverables must reflect professional quality consistent with international design standards while incorporating culturally relevant visual elements appropriate for the Zimbabwe Harare market and broader Southern African audience.

1. Acceptance of Purchase Order: By signing this Purchase Order, the Graphic Designer acknowledges and agrees to all terms, conditions, and deliverable specifications outlined herein. This Purchase Order constitutes a binding agreement between Shamvale Creative Enterprises (Pvt) Ltd and the Graphic Designer for the duration of the project.
2. Timeline and Milestones: The Graphic Designer shall submit a detailed project timeline within five (5) business days of accepting this Purchase Order. All deliverables must be completed and submitted no later than 30 July 2025. Partial deliveries are acceptable at the 15 July 2025 milestone (Brand Identity Package and Marketing Collateral).
3. Payment Schedule: Payment shall be made in two instalments: fifty percent (50%) upon acceptance of the Brand Identity Package milestone, and the remaining fifty percent (50%) upon final delivery and written acceptance of all remaining deliverables. Payment will be processed via electronic funds transfer to the bank account specified in Section 1 of this Purchase Order.
4. Intellectual Property: Upon full and final payment, all intellectual property rights, copyrights, and ownership of all designs, files, and creative work produced by the Graphic Designer under this Purchase Order shall transfer irrevocably to Shamvale Creative Enterprises (Pvt) Ltd. The Graphic Designer retains the right to display the work in a professional portfolio.
5. File Delivery Standards: The Graphic Designer shall deliver all final files in industry-standard formats including Adobe Illustrator (.ai), Adobe Photoshop (.psd), PDF (print-ready, CMYK, 300 DPI), and PNG/JPG (web-ready, RGB, 72 DPI). All source files, font licences, and asset libraries must be included in the final delivery.
6. Compliance with Zimbabwe Harare Regulations: The Graphic Designer confirms that all work produced under this Purchase Order shall comply with the laws of the Republic of Zimbabwe, including but not limited to the Copyright and Patents Act [Chapter 27:04], the Zimbabwe Revenue Authority (ZIMRA) tax obligations, and any applicable regulations governing commercial advertising in the Zimbabwe Harare metropolitan area.
7. Confidentiality: The Graphic Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation survives the termination of this Purchase Order for a period of two (2) years.
8. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Graphic Designer shall be compensated for all work completed and accepted up to the date of termination.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Zimbabwe Harare.

All deliverables under this Purchase Order shall be subject to a formal acceptance process. The Graphic Designer shall submit each deliverable to the Procurement Manager at Shamvale Creative Enterprises for review. A period of five (5) business days shall be allowed for review and feedback. Failure to respond within this period shall constitute deemed acceptance. The Graphic Designer shall address any reasonable feedback within three (3) business days of receipt.
