This Purchase Order is issued by Salon El Chikhaoui Professional Hairdressing, a registered hairdresser establishment operating in the city of Algiers, Algeria, for the procurement of professional hairdressing products, equipment, and related services. This document constitutes a binding commercial agreement between the Buyer and the Supplier for the items and services detailed herein. All goods specified in this Purchase Order shall be delivered to the Buyer's hairdresser premises located at 42, Rue Didouche Mourad, Hydra, 16000 Algiers, Algeria. The Supplier is responsible for all transportation, packaging, and insurance of goods from their warehouse in Algiers to the designated delivery address. Delivery shall be completed no later than twenty (20) business days from the date of this Purchase Order. The Supplier shall provide a written delivery confirmation signed by the Buyer's authorized representative upon receipt. In the event of partial delivery, the Supplier must notify the Buyer in writing within forty-eight (48) hours and provide a revised delivery schedule. All items must be in new, unused condition and free from manufacturing defects. The Buyer reserves the right to inspect all goods upon arrival and reject any items that do not conform to the specifications outlined in this Purchase Order.
4. PAYMENT TERMS & CONDITIONS- Payment Method: Bank transfer to the Supplier's designated account at a licensed Algerian bank. The Buyer shall issue a payment order (ordre de virement) within thirty (30) calendar days of the date of invoice issuance, provided all goods and services have been received and accepted in satisfactory condition.
- Bank Details (Supplier): Bank of Algeria — Algiers Central Branch; RIB: 007 00000 1234567890 12; IBAN: DZ76 0070 0000 1234 5678 9012.
- Advance Payment: A non-refundable advance of twenty percent (20%) of the total Purchase Order value shall be paid upon signing of this document to secure the order and initiate procurement by the Supplier.
- Late Payment Penalty: In the event of payment delay beyond the stipulated thirty (30) days, a penalty of 1.5% per month of the outstanding amount shall be applied, in accordance with Algerian commercial law.
- Tax Compliance: All applicable taxes, including the 19% Value Added Tax (TVA) as mandated by the Algerian tax code, are included in the unit prices. The Supplier shall issue a compliant fiscal invoice (facture fiscale) bearing the NIF and RC numbers of both parties.
The Supplier warrants that all equipment and products delivered under this Purchase Order are of professional hairdresser grade, free from defects in materials and workmanship, and conform to the applicable Algerian and international safety standards. A minimum warranty period of twelve (12) months shall apply to all electrical equipment (hairdryers, flat irons, and related devices) and twenty-four (24) months to furniture items (styling chairs, backwash units). The Supplier shall provide after-sales technical support and, where applicable, spare parts for a period of three (3) years from the date of delivery. Any defective items discovered within the warranty period shall be repaired or replaced at no additional cost to the Buyer. The Supplier shall respond to any warranty claim within five (5) business days of written notification from the Buyer's hairdresser management team.
6. CANCELLATION & MODIFICATIONThis Purchase Order may be modified only by mutual written agreement between the Buyer and the Supplier, executed as an addendum to this document. Cancellation of this Purchase Order by the Buyer after the advance payment has been made shall result in the forfeiture of the advance amount. Cancellation by the Supplier without justifiable cause shall entitle the Buyer to a full refund of all payments made, plus compensation for any documented losses incurred. Any dispute arising from this Purchase Order shall be resolved through amicable negotiation first, and failing that, through the competent commercial courts of Algiers, Algeria.
7. GOVERNING LAWThis Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria. The jurisdiction of the commercial courts of Algiers shall be exclusively competent to settle any dispute arising out of or in connection with this Purchase Order. All communications related to this document shall be conducted in French or Arabic, the official languages of Algeria, with English translations provided for internal reference purposes only.
