Terms and Conditions – Purchase Order for Hairdresser Operations in Brazil São Paulo
- Delivery: All items under this Purchase Order must be delivered to the hairdresser premises located at Av. Paulista, 1578, São Paulo, Brazil, within fifteen (15) business days from the date of this Purchase Order. Delivery must occur between 08:00 and 17:00 BRT (Brasília Time) to accommodate the hairdresser's operating schedule.
- Payment: Payment shall be made via bank transfer (TED/PIX) to the supplier's account in Brazil within thirty (30) days from the date of invoice issuance. The total amount of R$ 59.060,60 (fifty-nine thousand and sixty reais and sixty centavos) is due in a single installment. Late payments shall incur a penalty of 1% per month plus Selic interest as per Brazilian commercial law.
- Quality Assurance: All professional hairdresser equipment and consumables must comply with ANVISA (Brazilian Health Regulatory Agency) standards and carry valid registration. The hairdresser establishment reserves the right to inspect and reject any items that do not meet the specifications outlined in this Purchase Order.
- Warranty: All electrical equipment (hairdryers, flat irons, steam machines) shall carry a minimum warranty of twelve (12) months from the date of delivery in São Paulo. The supplier shall provide a local warranty service point within the São Paulo metropolitan area for the hairdresser's convenience.
- Compliance: This Purchase Order is governed by the Brazilian Civil Code (Código Civil) and applicable commercial regulations of the State of São Paulo. Both parties confirm that this transaction is conducted in full compliance with Brazilian tax legislation, including ISS (Service Tax) and ICMS obligations applicable to the city of São Paulo.
- Substitution: In the event that any hairdresser product listed in this Purchase Order is unavailable, the supplier must notify the buyer in writing at least five (5) business days prior to the delivery date and propose an equivalent or superior alternative product for the hairdresser's approval.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the Consumer Protection Agency (PROCON) of São Paulo or through the competent courts of the city of São Paulo, Brazil, with exclusive jurisdiction.
