1. Scope of Purchase: This Purchase Order is issued by Beijing Golden Scissors Hairdresser Studio Co., Ltd. for the procurement of professional hairdresser equipment, tools, and consumable supplies required for the continued operation of our hairdresser salon located in Dongcheng District, Beijing, China. All items listed above are intended exclusively for professional hairdresser use within our Beijing premises.
2. Delivery: The Supplier shall deliver all goods to the designated hairdresser studio address in Beijing, China, no later than 05 July 2025. Delivery shall be made during business hours (09:00–17:00 CST). The Supplier is responsible for all packaging, crating, and freight costs to the Beijing delivery point. Goods must be delivered in new, unused, and undamaged condition, suitable for immediate installation in a professional hairdresser environment.
3. Quality Standards: All hairdresser equipment and supplies must comply with the relevant national standards of the People's Republic of China (GB standards) and must carry valid CCC (China Compulsory Certification) marks where applicable. Hair color products and chemical consumables must bear proper MSDS/SDS documentation in both Chinese and English. The hairdresser studio reserves the right to reject any items that do not meet the specifications outlined in this Purchase Order.
4. Payment: Payment of the total amount of CNY 127,528.30 shall be made via bank transfer to the Supplier's designated corporate account within thirty (30) calendar days of the date of the commercial invoice, provided that all goods have been received, inspected, and accepted by the hairdresser studio management in Beijing. Late payments shall accrue interest at the rate of 0.05% per day as stipulated under PRC commercial law.
5. Warranty: The Supplier warrants that all mechanical and electrical hairdresser equipment (chairs, dryers, flat irons, blow-dry hoods, washing basins, and LED mirrors) shall carry a minimum warranty period of twenty-four (24) months from the date of delivery in Beijing. Consumable items (shampoo, color kits, capes, extensions) are warranted to be free from manufacturing defects at the time of delivery.
6. Installation & Commissioning: The Supplier shall provide on-site installation and commissioning services for all major hairdresser equipment (station chairs, washing basins, blow-dry hoods, and LED mirrors) at the Beijing studio location. Installation shall be completed within five (5) business days of delivery. The Supplier's technicians shall ensure all equipment is fully operational before the hairdresser team begins use.
7. Intellectual Property & Branding: The Supplier confirms that all branded hairdresser tools and equipment supplied under this Purchase Order are genuine, authorized products. No counterfeit or unauthorized replicas of professional hairdresser instruments shall be included in the shipment to Beijing.
8. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through negotiation. If negotiation fails, the matter shall be submitted to the Beijing Arbitration Commission (BAC) for arbitration in accordance with its rules. The arbitration shall be conducted in Chinese, and the award shall be final and binding. The governing law of this Purchase Order is the law of the People's Republic of China.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government regulations affecting the hairdresser industry in Beijing, or public health emergencies, provided that the affected party notifies the other in writing within seven (7) days.
10. Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and operational details of the Beijing hairdresser studio disclosed during the execution of this Purchase Order. This obligation shall survive for a period of three (3) years following full performance of this order.

This Purchase Order (PO-BJ-2025-0417-HD) constitutes a binding commercial agreement between the above-named parties for the procurement of hairdresser supplies and equipment for use in Beijing, China. This document is issued in two (2) original copies, one for each party. Electronic copies transmitted via email are considered valid under the Electronic Signature Law of the People's Republic of China.
