1. This Purchase Order is issued by Salón & Estética El Buen Corte S.A.S., a registered hairdresser and beauty services establishment located in Bogotá, Cundinamarca, Colombia, for the procurement of professional hairdressing equipment, tools, furniture, and consumable products necessary for the expansion of our salon operations in the Zona Rosa district of Bogotá D.C.
2. All items listed in this Purchase Order must comply with the Colombian technical standards (NTC) and the regulations established by the Ministry of Commerce, Industry, and Tourism of Colombia. The supplier guarantees that all hairdresser equipment and products are new, unused, and carry a minimum manufacturer warranty of twelve (12) months.
3. Delivery of all goods shall be made to the purchasing entity's address in Bogotá, Colombia, no later than the required delivery date stated above. The supplier is responsible for all transportation, handling, and installation costs within the Bogotá D.C. metropolitan area. Late delivery beyond the agreed date shall incur a penalty of 0.5% of the total Purchase Order value per business day of delay.
4. Payment shall be processed via bank transfer (transferencia bancaria) to the supplier's designated account in Colombian Pesos (COP) within thirty (30) calendar days from the date of the official invoice (factura electrónica) issued in accordance with the DIAN (Dirección de Impuestos y Aduanas Nacionales) electronic invoicing requirements of Colombia.
5. The supplier shall provide a detailed packing list and a copy of the electronic invoice (factura electrónica) upon delivery. All items must be inspected by the purchasing entity's representative at the point of delivery in Bogotá. Any damaged, defective, or non-conforming hairdresser supplies must be reported within five (5) business days of receipt.
6. This Purchase Order is subject to the Commercial Code of Colombia (Código de Comercio) and applicable consumer protection regulations. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Bogotá D.C., Colombia, or through arbitration as mutually agreed by both parties.
7. The supplier acknowledges that the purchasing entity operates as a professional hairdresser salon in Bogotá and that the procured items are intended exclusively for commercial use in providing hairdressing, styling, coloring, and beauty services to the public in the city of Bogotá, Colombia.
8. Prices quoted in this Purchase Order are firm and shall not be subject to modification for a period of sixty (60) days from the date of issue. The supplier warrants that all products are free from intellectual property infringement and comply with Colombian import and commercial regulations.
9. Both parties agree that this Purchase Order constitutes a binding commercial agreement upon signature by both authorized representatives. No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both parties.
