This Purchase Order is issued by Selam Hairdresser & Beauty Lounge, a registered hairdresser and cosmetology establishment operating in Ethiopia Addis Ababa, for the procurement of professional hairdressing equipment, styling products, salon furniture, and consumable supplies. This Purchase Order governs the terms, conditions, quantities, pricing, and delivery obligations between the Buyer and the Supplier as specified herein. The Supplier shall deliver all items listed in this Purchase Order to the Hairdresser premises located at Bole Road, Near Friendship Building, Bole Sub-City, Woreda 03, Ethiopia Addis Ababa, no later than 30 June 2025. Delivery shall be made between the hours of 08:00 and 16:00 East Africa Time (EAT). The Supplier is responsible for all transportation, handling, and on-site installation of equipment and furniture within the Hairdresser salon. All goods must be in new, unused, and undamaged condition upon delivery. The Buyer reserves the right to inspect all items upon arrival and reject any goods that do not conform to the specifications outlined in this Purchase Order.

Payment for this Purchase Order shall be made in Ethiopian Birr (ETB) via bank transfer to the Supplier's designated account at Commercial Bank of Ethiopia, Addis Ababa Branch. A 30% advance payment (ETB 133,285.50) is due within five (5) business days of the signing of this Purchase Order. The remaining 70% balance (ETB 310,999.50) shall be paid within thirty (30) calendar days following successful delivery, inspection, and written acceptance of all goods by the Buyer. Late payments shall incur a penalty of 2% per month as stipulated under Ethiopian commercial law. All invoices must reference Purchase Order No. PO-ETH-ABJ-2025-04782.

All professional hairdressing equipment procured under this Purchase Order must carry a minimum manufacturer's warranty of twelve (12) months from the date of delivery. The Supplier warrants that all products are genuine, free from defects in material and workmanship, and comply with the product safety standards set by the Ethiopian Standards Agency (ESA). The Hairdresser establishment in Ethiopia Addis Ababa relies on the quality and safety of these products for the well-being of its clients. Any defective items discovered within the warranty period shall be replaced or repaired at no additional cost to the Buyer.

This Purchase Order may be modified or cancelled only by mutual written agreement between the Buyer and the Supplier. In the event of cancellation after the advance payment has been made, the Supplier shall refund the advance payment within fourteen (14) business days, less any non-recoverable costs already incurred in the procurement of goods specifically ordered for this Purchase Order. The Buyer may reduce quantities by up to 10% without penalty if operational needs of the Hairdresser salon change prior to the delivery date.

This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, including the Ethiopian Civil Code and the Commercial Code. Any disputes arising from or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation between the parties. If negotiation fails within thirty (30) days, the dispute shall be referred to the competent commercial court in Ethiopia Addis Ababa for final and binding resolution.

This Purchase Order constitutes the entire agreement between the parties regarding the procurement of hairdressing supplies and equipment for the Hairdresser business in Ethiopia Addis Ababa. No oral representations, prior negotiations, or side agreements shall be binding unless expressly incorporated into this document in writing. This Purchase Order may not be assigned by either party without the prior written consent of the other. All communications regarding this Purchase Order shall be directed to the contact persons listed above.
