1. Scope of Purchase Order: This Purchase Order is issued by Adire Beauty & Hair Lounge, a registered Hairdresser and salon establishment operating in Nigeria Lagos, for the procurement of professional hairdressing equipment, consumables, uniforms, and salon furniture. All items listed herein are intended for use in the day-to-day operations of the Hairdresser service line at the Victoria Island, Lagos premises.

2. Delivery: The Supplier shall deliver all goods to the Hairdresser premises at 24B Adeola Odeku Street, Victoria Island, Lagos, Nigeria, within the dates specified in the line-item table above. Delivery within the Nigeria Lagos metropolitan area is included in the stated handling fee. Any delay beyond the agreed delivery date shall attract a penalty of 1% of the affected line-item value per day of delay.

3. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods by the Hairdresser buyer. Payment shall be made via bank transfer to the Supplier's designated account in Nigerian Naira (NGN). No cash payments shall be accepted under this Purchase Order.

4. Quality and Inspection: Upon delivery, the Hairdresser buyer reserves the right to inspect all items for quality, quantity, and conformity with the specifications stated in this Purchase Order. Any defective, damaged, or non-conforming goods must be reported to the Supplier within five (5) business days of delivery. The Supplier shall replace or refund non-conforming items at no additional cost to the Hairdresser buyer.

5. Warranties: All equipment items (hairdryers, steam machines, salon chairs, cutting shears) shall carry a minimum manufacturer's warranty of twelve (12) months from the date of delivery. The Supplier shall provide all warranty documentation alongside the goods. Consumable products (oils, colour kits, extensions, sanitiser) are warranted to be unopened, within shelf life, and free from defects at the time of delivery.

6. Cancellation and Modification: This Purchase Order may be modified or cancelled in writing by either party. Cancellation by the Hairdresser buyer after the Supplier has commenced procurement or manufacturing shall incur a cancellation fee of 15% of the total Purchase Order value. No verbal modifications shall be binding.

7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).

8. Compliance: All products procured under this Purchase Order must comply with the standards set by the National Agency for Food and Drug Administration and Control (NAFDAC) and the Standards Organisation of Nigeria (SON) as applicable to cosmetic and hairdressing products sold in Nigeria Lagos.

9. Confidentiality: Both parties agree to treat the pricing, terms, and commercial details contained in this Purchase Order as confidential. Neither the Hairdresser buyer nor the Supplier shall disclose this information to third parties without prior written consent.
