All items listed in this Purchase Order shall be delivered to the Hairdresser studio premises located at 12 Tverskaya Street, Building 4, Floor 3, Moscow, Russia Moscow, 125009. Delivery shall be completed no later than 28 June 2025. The supplier is responsible for all transportation costs within the Moscow metropolitan area. Goods must be delivered during business hours (09:00–18:00 Moscow Time, MSK/UTC+3) on weekdays. The supplier must provide a delivery note (товарная накладная) and a VAT invoice (счёт-фактура) in accordance with the Federal Tax Service of Russia Moscow requirements. All equipment must be in new, unused condition with full manufacturer warranty documentation in Russian.
5. Payment Terms- Payment Method: Bank transfer (безналичный расчёт) to the supplier's account as specified in Section 2.
- Payment Schedule: 50% advance payment (448,560.00 RUB) within 3 business days of Purchase Order acceptance; 50% balance (448,560.00 RUB) within 5 business days after confirmed delivery and inspection of all Hairdresser equipment.
- Payment Currency: All transactions shall be settled in Russian Rubles (RUB) in compliance with the Central Bank of Russia regulations.
- Penalty for Late Payment: 0.1% per calendar day of delay, capped at 10% of the outstanding amount, as per the Civil Code of the Russian Federation.
- This Purchase Order constitutes a binding agreement between the Hairdresser establishment (Buyer) and the supplier (Seller) upon written acceptance by both parties.
- All Hairdresser equipment and consumables must comply with Russian GOST standards and hold valid EAC (Eurasian Conformity) certification. The supplier warrants that all products are legally importable and sellable within Russia Moscow and the broader Russian Federation.
- The Buyer reserves the right to inspect all delivered items within 5 business days of receipt. Any defective, damaged, or non-conforming Hairdresser tools or supplies must be reported in writing, and the supplier shall replace or refund the affected items within 10 business days at no additional cost.
- Warranty: All professional Hairdresser equipment carries a minimum 12-month manufacturer warranty. Consumables (shampoo, color kits, disposables) are non-returnable once opened.
- This Purchase Order is governed by the Civil Code of the Russian Federation. Any disputes arising from this document shall be resolved through negotiation first, followed by arbitration in the Arbitration Court of Moscow, Russia Moscow, if no amicable resolution is reached within 30 days.
- The supplier shall not subcontract delivery or installation of Hairdresser workstations without prior written consent from the Buyer.
- Force majeure events, including but not limited to government-mandated closures in Russia Moscow, shall suspend delivery and payment obligations for the duration of the event, with written notice provided within 48 hours.
- All personal data processed under this Purchase Order shall comply with Federal Law No. 152-FZ "On Personal Data" of the Russian Federation.
