- Scope of Order: This Purchase Order is issued by the undersigned hairdresser proprietor for the procurement of professional salon equipment, hair care products, and installation services necessary for the operation of a licensed hairdresser establishment located in the Plateau district of Dakar, Senegal. All goods must be new, unused, and in full compliance with the technical and sanitary regulations of the Republic of Senegal as enforced by the Direction du Commerce and the local municipal authority of Dakar.
- Delivery: The supplier shall deliver all items listed in this Purchase Order to the hairdresser premises at 12, Boulevard du Président Léopold Sédar Senghor, Plateau, Dakar, Senegal, no later than 28 June 2025. Delivery shall be made between the hours of 08:00 and 16:00 West Africa Time (WAT, UTC+1). The supplier is responsible for all transportation, loading, and unloading within the city of Dakar. Any delay beyond the stipulated date shall incur a penalty of 0.5% of the total order value per calendar day of delay, up to a maximum of 10%.
- Inspection and Acceptance: Upon delivery at the hairdresser salon in Dakar, the buyer (or her designated representative) shall inspect all goods within 48 hours. Any item found to be defective, damaged in transit, or not conforming to the specifications stated in this Purchase Order shall be rejected and replaced at the supplier's sole cost within 7 business days. Acceptance of goods does not waive the buyer's right to claim latent defects discovered within 30 days of installation.
- Payment: Payment shall be made in West African CFA Francs (XOF) via bank transfer to the supplier's account at Banque Atlantique Sénégal, Dakar branch, or by certified cheque. The 50% advance payment (1,896,930 XOF) shall be released within 5 business days of mutual signature of this Purchase Order. The remaining 50% balance (1,896,930 XOF) shall be paid within 10 business days following successful delivery, inspection, and completion of installation services at the hairdresser premises.
- Warranty: The supplier warrants that all equipment and products supplied under this Purchase Order shall be free from manufacturing defects for a period of 24 months from the date of installation at the hairdresser salon in Dakar. This warranty covers parts and labour for repairs performed at the buyer's premises. Consumable items (capes, gloves, colouring kits, shea butter products) are covered by a 6-month warranty against manufacturing defects only.
- Regulatory Compliance: The supplier confirms that all electrical equipment (hair dryers, flat irons, curling irons, LED mirrors) complies with the 220V/50Hz electrical standard of Senegal and carries the required CE or equivalent certification. All cosmetic and hair care products shall bear proper labelling in French (the official language of Senegal) and shall be registered with the Direction de la Pharmacie et du Médicament of Senegal where applicable. The hairdresser establishment in Dakar is registered under RC No. DKR-2019-B-04521 and holds a valid operating licence from the Mairie de Dakar.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, civil unrest, government-imposed restrictions, or port closures affecting the import of goods into Senegal through the Port of Dakar. The affected party shall notify the other in writing within 5 days of the occurrence.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including the Senegalese Commercial Code (Code de Commerce) and applicable consumer protection legislation. Any dispute arising from or in connection with this Purchase Order shall first be subject to amicable negotiation between the parties. Failing resolution within 30 days, the dispute shall be referred to the competent commercial court of Dakar, Senegal.
- Confidentiality: Both parties agree to treat the pricing, terms, and business details contained in this Purchase Order as confidential. No information relating to the hairdresser establishment's operations, client base, or commercial arrangements in Dakar shall be disclosed to third parties without prior written consent.
- Entire Agreement: This Purchase Order, together with any attached specifications or quotations referenced herein, constitutes the entire agreement between the hairdresser buyer and the supplier regarding the subject matter hereof and supersedes all prior negotiations, representations, or agreements relating to the procurement of hairdresser equipment and supplies in Senegal Dakar.
