• 1. Scope: This Purchase Order is issued by Salon Lumière Zurich GmbH for the procurement of professional hairdresser products, equipment, and consumables to support the operational expansion of our hairdresser services at the Bahnhofstrasse location in Zurich, Switzerland. All items listed above are required for the continued delivery of premium hairdresser services to our clientele in the Zurich metropolitan area.
• 2. Delivery: The supplier shall deliver all goods to the specified address in Switzerland Zurich no later than 29 June 2025. Delivery shall be made between 08:00 and 16:00 CET. The supplier is responsible for all transportation costs within the Canton of Zurich. All equipment must comply with Swiss electrical standards (230V, 50Hz) and carry the appropriate CE and Swiss safety markings for use in a professional hairdresser environment.
• 3. Quality & Compliance: All hairdresser products and equipment must meet the regulatory standards set forth by the Swiss Federal Office of Public Health (BAG) and the Swiss Consumer Protection Act. Hair colour products and chemical treatments must comply with the Swiss Chemicals Ordinance (ChemV). The supplier warrants that all goods are new, unused, and free from defects.
• 4. Payment: Payment of the full Purchase Order amount of CHF 25,718.57 shall be made via bank transfer to the supplier's designated account within 30 days of receipt of a valid invoice. The payment shall be processed through the Swiss banking system (IBAN: CH format). Late payments shall incur interest at the Swiss statutory rate of 5% per annum.
• 5. Acceptance & Inspection: Upon delivery in Switzerland Zurich, the receiving hairdresser team lead shall inspect all items within 5 business days. Any discrepancies, damaged goods, or items not conforming to this Purchase Order must be reported in writing to the supplier within the same period. The supplier shall replace or refund non-conforming items within 10 business days at no additional cost.
• 6. Warranty: All equipment items (hairdryers, flat irons, steamers, styling stations) carry a minimum 24-month manufacturer's warranty valid in Switzerland. The supplier shall coordinate all warranty claims and repairs on behalf of the hairdresser salon. Consumable products are covered by a 30-day return policy for unopened items.
• 7. Cancellation & Modification: This Purchase Order may be cancelled or modified in writing by either party up to 7 calendar days prior to the required delivery date. Cancellations after this period shall be subject to a 15% penalty fee on the value of cancelled line items. Modifications to quantities or specifications must be approved in writing by both parties.
• 8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Swiss Code of Obligations (OR) and the applicable commercial regulations of the Canton of Zurich, Switzerland. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Zurich, Switzerland.
• 9. Data Protection: All personal data exchanged in connection with this Purchase Order shall be processed in accordance with the Swiss Federal Act on Data Protection (FADP/DSP). The supplier shall not share the buyer's or its employees' personal data with third parties without explicit written consent.
• 10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, strikes, or government-mandated closures affecting the hairdresser industry in Switzerland Zurich.
