- Scope of Purchase: This Purchase Order is issued by Golden Gate Hair Studio, a registered Hairdresser and cosmetology business located in United States San Francisco, for the acquisition of professional salon products and equipment. All items must meet California Board of Barbering and Cosmetology standards for professional use in a licensed Hairdresser establishment.
- Delivery: The Seller shall deliver all goods to the Buyer's premises at 1427 Market Street, Suite 300, San Francisco, California 94102, United States, no later than June 26, 2025. Delivery must occur between 8:00 AM and 4:00 PM Pacific Time to accommodate the Hairdresser's operating schedule. The Seller is responsible for all freight charges as indicated in this Purchase Order.
- Inspection and Acceptance: Upon receipt, the Buyer (Hairdresser) shall inspect all items within five (5) business days. Any damaged, defective, or non-conforming goods must be reported in writing to the Seller. The Seller shall replace or credit non-conforming items within ten (10) business days of notification.
- Payment: Payment of the full amount of $8,444.00 USD shall be made within thirty (30) days of the invoice date via ACH transfer or certified check payable to Bay Area Professional Salon Supply Co. Late payments shall accrue interest at 1.5% per month as permitted under California Commercial Code Section 2304, applicable to commercial transactions in United States San Francisco.
- Warranty: All equipment items (flat irons, hair dryers, UV sterilization cabinets) shall carry a minimum of a one-year manufacturer's warranty. Professional chemical products (keratin treatments, hair color, shampoo) must have a minimum shelf life of eighteen (18) months from the date of delivery. The Hairdresser reserves the right to return unopened chemical products within thirty (30) days if they do not meet the specifications outlined in this Purchase Order.
- Compliance: All products must comply with the Federal Food, Drug, and Cosmetic Act, California Proposition 65 labeling requirements, and the California Board of Barbering and Cosmetology regulations governing the use of professional products in a Hairdresser salon in United States San Francisco. The Seller warrants that all items are free of hazardous materials not disclosed on the product labeling.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, port closures affecting the San Francisco Bay Area, or government-mandated business interruptions in United States San Francisco.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from this Purchase Order shall be resolved in the Superior Court of California, County of San Francisco, United States San Francisco.
- Confidentiality: Both parties agree to maintain the confidentiality of pricing, business terms, and client information related to this Purchase Order. The Hairdresser's client data and the Seller's proprietary product formulations shall not be disclosed to third parties without written consent.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both the Hairdresser (Buyer) and the Seller. Verbal agreements shall not constitute a valid amendment to this document.
