This Purchase Order is issued by Andes Industrial Solutions S.A. to formally procure the professional services of a Human Resources Manager to be provided by Talento Humano Córdoba SRL. The engagement is specifically tailored to the operational, legal, and cultural context of Argentina Córdoba, ensuring full compliance with the Argentine National Labor Law (Ley de Contrato de Trabajo No. 20.744), the Córdoba Provincial Labor Code, and all applicable regulations issued by the Ministry of Labor of the Province of Córdoba.

The Human Resources Manager engaged under this Purchase Order shall be responsible for the following core functions within the Córdoba Capital office and all satellite facilities located throughout the Province of Córdoba:

Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by the laws of the Argentine Republic, with specific application of the labor and commercial regulations of the Province of Córdoba. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of Córdoba Capital, Argentina, or, where applicable, the labor courts of the Province of Córdoba for matters pertaining to the Human Resources Manager's employment relationship with the vendor.
Qualification Requirements: The Human Resources Manager assigned to fulfill this Purchase Order must hold a minimum of a Bachelor's degree in Human Resources, Business Administration, or a related field from a recognized Argentine university (preferably Universidad Nacional de Córdoba, Universidad Nacional de Villa María, or Universidad Católica de Córdoba). A minimum of seven (7) years of progressive HR management experience in the Argentine industrial sector is mandatory, with at least three (3) years of direct experience operating within the Province of Córdoba.
Local Compliance: The vendor shall ensure that the Human Resources Manager is fully registered with the Argentine tax authority (AFIP), holds a valid DNI (Documento Nacional de Identidad), and is enrolled in the applicable social security system. All contributions to the Caja de Previsión Social de Córdoba and the national ANSES system shall be made in full compliance with Argentine law.
Confidentiality: The Human Resources Manager shall maintain strict confidentiality regarding all employee data, compensation structures, and proprietary business information of Andes Industrial Solutions S.A. in accordance with the Argentine Personal Data Protection Law (Ley 25.326) and the Córdoba Provincial Data Protection regulations.
Performance Standards: The Human Resources Manager shall report directly to the General Director of Andes Industrial Solutions S.A. in Córdoba Capital. Monthly performance reports shall be submitted by the 5th business day of each month. Failure to meet the KPIs outlined in Annex A of this Purchase Order for two consecutive months shall constitute grounds for termination with 30 days' written notice.
Payment and Currency: All payments under this Purchase Order shall be made in Argentine Pesos (ARS) via electronic bank transfer (SPEI) to the vendor's account at Banco de la Nación Argentina, Sucursal Córdoba Capital. Invoices shall be issued in accordance with Argentine electronic invoicing regulations (Facturación Electrónica – AFIP). Monthly adjustments shall be applied based on the Consumer Price Index (IPC) published by INDEC for the Córdoba metropolitan area.
Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the vendor shall ensure an orderly transition of all HR records, employee files, and ongoing processes to the buyer or a successor Human Resources Manager within fifteen (15) business days. All outstanding invoices for services rendered up to the termination date shall be paid in full.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Province of Córdoba, government-mandated shutdowns, or changes in Argentine labor legislation that materially alter the scope of services required of the Human Resources Manager.
Anti-Corruption: The vendor warrants that no part of the compensation under this Purchase Order shall be used for any purpose that violates Argentine anti-corruption laws (Ley 27.401 – Responsabilidad Penal de las Personas Jurídicas) or the ethical standards of the Province of Córdoba's public and private sector procurement regulations.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of a Human Resources Manager in the Province of Córdoba, Argentina. This document constitutes a binding commercial agreement under Argentine law.
