This Purchase Order is issued by Grupo Empresarial del Valle, S.A. de C.V., a corporation duly registered and operating in Mexico Mexico City, for the purpose of procuring the professional services of a qualified Human Resources Manager to be engaged on a fixed-term contractual basis. The Human Resources Manager shall be responsible for overseeing all personnel management functions, labor compliance under Mexican federal and local labor legislation, employee relations, recruitment, training and development, compensation and benefits administration, and strategic workforce planning for the company's operations headquartered in Mexico Mexico City and its regional offices throughout the State of Mexico.

The engagement of the Human Resources Manager is structured as a professional services procurement under the terms of this Purchase Order, in compliance with the Federal Labor Law (Ley Federal del Trabajo) of Mexico, the General Law of Social Security (Ley del Seguro Social), and all applicable regulations of the Mexico City local government regarding employment and workplace standards.

All payments under this Purchase Order shall be made in Mexican Pesos (MXN) via electronic bank transfer (SPEI) to the account designated by the service provider. The payment schedule for the Human Resources Manager engagement is as follows:

30% Advance Payment: Due upon execution of this Purchase Order and confirmation of the Human Resources Manager's start date. Amount: MXN $404,202.00.
Monthly Installments: The remaining 70% shall be paid in twelve (12) equal monthly installments of MXN $70,777.33, due on the first business day of each month, commencing July 1, 2025.
Recruitment Fees (Item 04): Payable within fifteen (15) business days following the successful onboarding of each recruited candidate, as verified by the Human Resources Manager's written report.
Compliance Audit (Item 05): Payable in full within ten (10) business days of delivery of the final audit report.

4.1. This Purchase Order is governed by the commercial laws of the United Mexican States and the local regulations of Mexico Mexico City. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts located in Mexico Mexico City, or alternatively through arbitration administered by the Mexican Arbitration Center (Centro de Arbitraje Mexicano).
4.2. The Human Resources Manager shall maintain full confidentiality regarding all proprietary information, employee data, compensation structures, and strategic plans of Grupo Empresarial del Valle, S.A. de C.V. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
4.3. The Human Resources Manager shall comply with all data protection requirements established under the Federal Law on Protection of Personal Data Held by Private Parties (Ley Federal de Protección de Datos Personales en Posesión de los Particulares) and the Mexico City local data protection regulations.
4.4. The service provider warrants that the Human Resources Manager possesses a minimum of eight (8) years of progressive experience in human resources management within the Mexican corporate sector, a valid professional license, and fluency in both Spanish and English.
4.5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all services rendered up to the effective date of termination shall be invoiced and paid in accordance with the schedule set forth in Section 3.
4.6. The Human Resources Manager shall be subject to the company's internal policies, code of conduct, and workplace safety regulations as established for all personnel operating within the Mexico Mexico City premises.
4.7. All deliverables, reports, and documentation produced by the Human Resources Manager in the performance of this Purchase Order shall be the exclusive property of Grupo Empresarial del Valle, S.A. de C.V.
4.8. Late payments shall accrue interest at a rate of 1.5% per month, calculated on the outstanding balance, in accordance with Mexican commercial law.

This Purchase Order becomes effective upon signature by both parties. The engagement of the Human Resources Manager shall commence on the Required Start Date indicated above, provided that all onboarding procedures at the Mexico Mexico City headquarters have been completed and all necessary labor registrations with the IMSS and SAT have been processed.
